Gossamer Bio, Inc. (Nasdaq: [GOSS](https://aibio.space/companies/gossamer-bio/)) received a Nasdaq notice on April 8, 2026, saying its common stock had not maintained a minimum bid price of $1.00 a share for 30 consecutive business days, from February 24, 2026 through April 7, 2026. The company disclosed the notice in a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1728117/000172811726000022/goss-20260408.htm) filed April 9, 2026, filed under Item 3.01. The notice does not cause immediate delisting from the Nasdaq Global Select Market.

## The deadline

Under Nasdaq Listing Rule 5810(c)(3)(A), Gossamer has 180 calendar days, or until October 5, 2026, to regain compliance. To do so, the closing bid price must be at least $1.00 a share for at least ten consecutive business days before that date. If the company does not regain compliance by then, it may be eligible for another 180 calendar days. To get that extra time it would have to move its listing to the Nasdaq Capital Market, meet the other Capital Market standards except the bid price rule, and tell Nasdaq it intends to cure the deficiency, for example through a reverse stock split.

Nasdaq staff will decide whether the company can cure the deficiency. If staff decides it cannot, or that the company does not meet the other standards, the company will receive a delisting notice. It could then appeal to a Nasdaq Hearing Panel. The 8-K says there can be no assurance that such an appeal would succeed, and that the company may not regain compliance with the bid price rule.

## Trial data that fell short

The stock's problem sits alongside the company's lead drug, seralutinib, for pulmonary arterial hypertension. The company's [annual report for 2025](https://www.sec.gov/Archives/edgar/data/1728117/000172811726000017/goss-20251231.htm), filed March 17, 2026, says the Phase 3 PROSERA study showed a placebo-adjusted improvement in six-minute walk distance at week 24 of 13.3 meters, with a p-value of 0.0320. That p-value misses the prespecified alpha threshold of 0.025, so the primary endpoint did not reach the statistical bar the company set in advance. The company still says the totality of data, including the earlier Phase 2 TORREY study, shows a risk benefit profile that "supports continued regulatory dialogue," and plans to request a Type C meeting with the FDA. Any decision to submit a new drug application will depend on FDA feedback. The report does not say what the FDA has said in response.

## The money

The company's annual report reports a net loss of $170.4 million for 2025, up from $56.5 million for 2024. Revenue fell to $48.5 million from $114.7 million. Research and development expense rose to $174.1 million from $138.5 million. Cash used in operations was $171.3 million in 2025.

The company had $136.9 million in cash, cash equivalents and marketable securities at December 31, 2025. A year earlier it held $46.1 million in cash and cash equivalents and $248.4 million in short-term investments. The report says existing cash, cash equivalents and marketable securities are expected to fund operations "through the fourth quarter of 2026."

The auditor's report on the 2025 and 2024 statements contains a paragraph on substantial doubt about the company's ability to continue as a going concern.

The annual report cover gives a market value of $270.8 million for non-affiliate shares, based on a closing price of $1.23 a share, and 234,696,281 common shares outstanding as of March 10, 2026.

## Litigation and governance

The annual report says the company has been involved in securities class action litigation and could face more, noting that such suits often follow a fall in a company's share price. Its funding has come in part from the 2027 Notes, stock sales and the Chiesi Collaboration Agreement signed in May 2024.

Faheem Hasnain has been chief executive officer since November 2020. Christian Waage, executive vice president of technical operations and administration, signed the 8-K.

## What comes next

The company's stated plan is to monitor the closing bid price and consider options to regain compliance. The 8-K does not describe a reverse split, a financing or a timetable for a new FDA meeting. The compliance date is October 5, 2026, and the annual report's funding estimate ends in the fourth quarter of 2026. The company has not said how it will address either date.
