Global Innovative Platforms, Inc. said in a press release dated October 6, 2026 that its board of directors has appointed David R. Wells as fractional chief financial officer, effective October 1, 2026. The release, from Sanford, Florida, was furnished with a Form 8-K that also covers an entry into a material agreement and a change in directors or officers.

## The appointment

The company said Wells has also been designated its principal financial officer and principal accounting officer. In the role, he will oversee the company's accounting and financial reporting functions. He will support its SEC reporting, financial planning, cash flow planning and financial modeling as the company continues to develop the VetBreath Dx platform.

Wells provides his services through Atlas Bookkeeping, LLC under a Services Agreement dated October 1, 2026. Andrew Brown will continue as chief executive officer and as a member of the board of directors. Brown said: "David has served in senior finance roles at public companies and understands what it takes to build disciplined financial reporting at an early stage company."

Wells said he was pleased to join the company at this stage of its development and that VetBreath Analytics is pursuing a non-invasive approach to veterinary diagnostics. The release says the details of the appointment and the services agreement are included in the company's Form 8-K.

## Background on the new CFO

The release says Wells has brought more than 30 years of experience in finance, operations and administration, primarily with medical device and technology companies. Since July 2021 he has owned Atlas Bookkeeping, LLC, through which he provides CFO advisory services to public and private companies.

From August 2023 to May 2025, Wells served as chief financial officer of Envoy Medical, Inc., which the release identifies as a Nasdaq-listed company. From June 2021 to September 2022, he was chief financial officer of GHS Investments, LLC, a private equity fund. Since December 2022, he has served on the board of directors of HeartSciences, Inc., also identified as Nasdaq-listed.

Wells holds an MBA from Pepperdine Graziadio Business School.

## The company and its platform

Global Innovative Platforms, Inc. is a publicly traded company whose animal health diagnostics division, VetBreath Analytics, is developing a non-invasive, breath-based diagnostic platform. The platform combines breath capture, gas chromatography, and AI and chemometric modeling to analyze volatile organic compounds. It is initially focused on canine heartworm detection.

The release says the technology is in the development and validation stage.

## Financial position

SEC XBRL data summarizes figures the company reported in its annual report on Form 10-K, filed January 13, 2026. For the fiscal year ended September 30, 2025, the company reported revenue of $0, compared with $0 for the prior fiscal year. Research and development expense was $382,832, compared with $23,376 a year earlier. The net loss was $718,251, compared with $136,197 for fiscal 2024.

Cash from operations was negative $560,740 for fiscal 2025, compared with negative $87,378 for fiscal 2024. Year-end cash and cash equivalents were $17,828 for fiscal 2025, compared with $15 for fiscal 2024. At June 30, 2026, cash and cash equivalents were $244,235, according to the 10-Q.

## Risks the release names

The CFO is part-time and supplied through his own bookkeeping firm, and the release states no fee. The release also reports no validation data for the breath test, no accuracy figures and no regulatory filing, only that the technology is in the development and validation stage. The company has had no revenue in either of the last two fiscal years and the cash at June 30, 2026 of $244,235 is small against a net loss of $718,251 for fiscal 2025. The release lists the company's risks, including the early-stage nature of its technology, the need for additional financing to fund operations and development, its dependence on successful further development, testing, and potential regulatory clearance or commercialization of the platform. It also says that priced quotations of its common stock may not commence or, if they commence, may not be sustained. The release does not give a timetable for the platform's development or for any new financing.
