Genprex, Inc. (Nasdaq: [GNPX](https://aibio.space/companies/genprex/)) disclosed in a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1595248/000143774925027451/gnpx20250818_8k.htm) filed August 20, 2025 that Nasdaq has cited a second, separate basis for delisting its stock. On August 19, 2025, the Listing Qualifications Staff told the company that it does not meet the minimum stockholders' equity requirement of Listing Rule 5550(b)(1). The company has requested a hearing before the Nasdaq Hearings Panel, and that request has stayed any suspension or delisting action until the hearing and any extension the Panel grants.

## The equity shortfall

The Staff said Genprex's stockholders' equity of $1,391,195, as reported in its Quarterly Report on Form 10-Q for the period ended June 30, 2025, was below the required minimum of $2.5 million. It also said that as of August 19, 2025 the company did not meet the alternative standards, which relate to market value of listed securities or net income from continuing operations.

## The bid price failure behind it

The new notice follows an August 12, 2025 letter. On February 7, 2025, Nasdaq had said the stock no longer met the $1.00 minimum bid price in Listing Rule 5550(a)(2) after 30 consecutive business days, and gave the company 180 calendar days, until August 6, 2025, to cure. Genprex did not regain compliance in that period. Because it does not meet Nasdaq's $5,000,000 minimum stockholders' equity initial listing requirement, it was not eligible for a second 180-day period, and the Staff determined to delist the securities unless the company requested a hearing. Genprex did so on August 19, 2025.

At the hearing the company says it intends to ask for an extension to show compliance with both requirements, give its views and present a plan to regain compliance. The 8-K says there can be no assurance that the Panel will grant continued listing or that the company will evidence compliance within any extension. Ryan Confer, who is President, Chief Executive Officer and Chief Financial Officer, signed the filing.

## Cash and going-concern doubt

Genprex's annual report for 2024, filed April 1, 2025, explains the pressure. Its recurring losses raised substantial doubt about its ability to continue as a going concern. The company reported an accumulated deficit of approximately $154.8 million at December 31, 2024, and net losses of approximately $21.1 million for 2024 and approximately $31.0 million for 2023. It expected its cash and cash equivalents of approximately $1.6 million at December 31, 2024 to be insufficient to meet operating and capital requirements for at least 12 months from the filing of the report. It said it depends on raising capital through equity or debt financings or collaborations, that selling equity or convertible debt may dilute stockholders, and that it may have to delay or discontinue clinical activities. It has no approved products and no product sales revenue.

## A shrinking clinical program

Genprex describes itself as a clinical stage gene therapy company. Its lead candidate, REQORSA (quaratusugene ozeplasmid), delivers the TUSC2 tumor suppressor gene to cancer cells in lipid nanoparticles, and is being developed with approved drugs for non-small cell lung cancer (NSCLC) and small cell lung cancer (SCLC).

The program has already been narrowed. In August 2024 the company stopped enrolling in Acclaim-2, which combined REQORSA with Merck & Co.'s Keytruda, citing enrollment challenges and competition for patients from other trials. The Phase 2a expansion of Acclaim-1, which pairs REQORSA with AstraZeneca's Tagrisso in EGFR-mutated NSCLC, now aims to enroll approximately 33 patients after a February 2025 protocol change. The company said it expected the first 19 patients enrolled by the end of 2025 and an interim analysis in the first half of 2026. The FDA has granted Fast Track Designation to that combination.

Early evidence is limited to a few patients. Of three patients in the Phase 1 portion of Acclaim-1 with prolonged progression-free survival, one reached a partial remission that has lasted through 47 courses of treatment, approximately 35 months. A second had stable disease through 32 courses, then progressed. Acclaim-3, which adds Genentech's Tecentriq in extensive stage SCLC, finished its Phase 1 portion on December 16, 2024 with no dose limiting toxicities.
