Nasdaq says Genprex does not meet the $1.00 minimum bid price, based on the last 30 consecutive business days. Separately, Nasdaq extended the company's deadline on the stockholders' equity requirement.

Genprex, Inc. (Nasdaq: [GNPX](https://aibio.space/companies/genprex/)) received a Nasdaq deficiency notice on February 7, 2025 saying its stock no longer meets the exchange's minimum bid price requirement. The company disclosed the letter in a [Form 8-K filed February 12, 2025](https://www.sec.gov/Archives/edgar/data/1595248/000143774925003490/gnpx20250203_8k.htm). The same filing reports that Nasdaq has given the company more time to fix a separate shortfall in stockholders' equity.

## The minimum bid price notice

The letter came from the Listing Qualifications Department of The Nasdaq Stock Market. It said that, based on the closing bid price of Genprex common stock over the last 30 consecutive business days, the company is not in compliance with the requirement to keep a bid price of at least $1.00 per share for continued listing on The Nasdaq Capital Market. The rule is Nasdaq Listing Rule 5550(a)(2).

Genprex says the notice has no immediate effect on the listing or trading of its common stock, and that its listing remains fully effective.

## The deadline and what comes next

Under Nasdaq Listing Rule 5810(c)(3)(A), Genprex has an initial 180 calendar days, until August 6, 2025, to regain compliance. The company regains compliance if the closing bid price is at least $1.00 for a minimum of 10 consecutive business days at any point in that period. Nasdaq's staff can extend the 10-day period at its discretion. The staff would then confirm compliance in writing.

If Genprex does not regain compliance by August 6, 2025, it may be eligible for a second 180-day period. To qualify, the company would have to meet the continued listing requirement for market value of publicly held shares and all other initial listing standards of The Nasdaq Capital Market, except the bid price. It would also have to tell Nasdaq in writing that it intends to cure the deficiency during the second period, by effecting a reverse stock split if necessary.

If the company is not eligible for the second period, or if it appears to the staff that the company cannot cure the deficiency, the staff will notify the company that its common stock will be subject to delisting. Genprex could appeal that decision to a Nasdaq hearings panel, but the filing says there can be no assurance an appeal would succeed. The company says it intends to monitor the closing bid price and will assess potential actions to regain compliance. It also says there is no assurance it will regain compliance in either 180-day period.

## The stockholders' equity requirement

The 8-K also updates an earlier problem. In a Form 8-K filed on November 19, 2024, Genprex disclosed a Nasdaq letter saying it did not meet the minimum stockholders' equity requirement in Nasdaq Listing Rule 5550(b)(1). The company submitted a plan to regain compliance on December 30, 2024. On February 11, 2025, the staff granted an extension.

Under the extension, Genprex must report $2.5 million in stockholders' equity in its Quarterly Report on Form 10-Q for the quarter ending March 31, 2025, due May 15, 2025 under SEC rules. The report must also include a statement that, as of the filing date, the company believes it has regained and can maintain compliance. If it does not meet those terms, the staff will give written notice that its securities will be delisted. The company could appeal to a hearings panel.

## About the company

Genprex describes itself in its annual report on Form 10-K, filed April 1, 2024, as a clinical stage gene therapy company. Its lead oncology candidate, REQORSA Immunogene Therapy, is being developed with approved cancer drugs for non-small cell lung cancer and small cell lung cancer. The 10-K says Genprex was enrolling patients in the Phase 2a expansion portion of its Acclaim-1 trial, which combines REQORSA with AstraZeneca's Tagrisso.

That 10-K also carries an auditor's report on the 2023 financial statements, which says the company's accumulated deficit at December 31, 2023, operating losses and negative cash flows from operations raise substantial doubt about its ability to continue as a going concern.

Chief Executive Officer and Chief Financial Officer Ryan M. Confer signed the 8-K. J. Rodney Varner signed the 10-K as Chief Executive Officer and Chairman of the Board of Directors.
