## The pricing

Generate Biomedicines, Inc. (Nasdaq: [GENB](https://aibio.space/companies/generate-biomedicines/)) priced its initial public offering on February 26, 2026, selling 25,000,000 shares of common stock at $16.00 per share. The prospectus puts the gross total at $400,000,000. Underwriting discounts and commissions are $1.04 per share, or $26,000,000, which leaves $14.96 per share, or $374,000,000, before expenses to the company.

The underwriters have an option to buy up to 3,750,000 more shares at the IPO price. They expected to deliver the shares on or about March 2, 2026. The shares are approved for listing on The Nasdaq Global Select Market under GENB.

## Underwriters and the directed share program

The prospectus names Goldman Sachs & Co. LLC, Morgan Stanley, Piper Sandler, Guggenheim Securities and Cantor as underwriters. It does not say which of them is lead or sole book-runner, and it names no placement agent.

Up to 5% of the offered shares are reserved for certain individuals, including directors and officers, through a directed share program run by Morgan Stanley & Co. LLC and its affiliates. Only directors' and officers' purchases are subject to lock-up agreements.

## Net proceeds and their use

The company estimates net proceeds of about $368.8 million, or about $424.9 million if the underwriters exercise their option in full, after underwriting discounts and estimated expenses.

It plans to use the money, with existing cash, mainly to advance GB-0895 through its two Phase 3 trials, complete the COPD trial, advance GB-4362 and GB-5267 through topline Phase 1 data, and fund platform work.

## The lead drug

GB-0895 is an investigational long-acting anti-TSLP antibody for severe asthma, meant to be dosed every six months. Two Phase 3 trials, SOLAIRIA-1 and SOLAIRIA-2, started in December 2025, and the first patient was dosed on January 26, 2026. Full enrollment is expected by the first half of 2028.

The company says GB-0895 binds with an estimated twenty-fold improvement over tezepelumab, and that Phase 1 data showed favorable safety and a half-life of approximately 98 days. Those are lab and early clinical measures. The prospectus says "We have not completed pivotal clinical trials for any of our product candidates".

The COPD Phase 1b trial is evaluating safety, tolerability and pharmacokinetics, with data expected in 2026. The company's preliminary COPD data are biomarker reductions, not clinical benefit, and its next phase depends on those results and on regulatory alignment.

## Other programs and partners

GB-4362 is an antibody meant to neutralize free MMAE as an add-on to antibody-drug conjugates. GB-5267 is a MUC16-directed CAR-T candidate developed with Roswell Park Comprehensive Cancer Center. The FDA cleared investigational new drug applications for both in December 2025, and first dosing is expected in 2026.

Amgen signed a collaboration in December 2021, paying a $50.0 million upfront in January 2022, a $25.0 million equity investment in October 2023 through Series C preferred stock, and a further $5.0 million upfront in December 2023. Novartis is also a partner. Flagship Pioneering founded the company in 2018.

The company will buy the non-controlling interest in Pioneering Medicines 02, Inc., known as PMCo, a closing tied to signing the underwriting agreement. The collaboration then ends, and payments to PMCo's parent based on net sales begin.

## Shares and the money

The prospectus gives 102,450,201 shares outstanding as of December 31, 2025, after preferred stock converts, following a one-for-1.5190 reverse stock split effected February 20, 2026.

The net loss was $223.0 million in 2025, against $181.4 million in 2024, and the accumulated deficit reached $676.3 million. The company had approximately $221.5 million in cash, cash equivalents, restricted cash and marketable securities at December 31, 2025. Management and the independent auditor have concluded there is substantial doubt about its ability to continue as a going concern. It says it will not have enough cash for at least twelve months from February 4, 2026.

## What comes next

COPD data, first dosing of GB-4362 and GB-5267, and Phase 1 starts for two more oncology candidates are all expected in 2026.

The company is raising equity after a going-concern warning, and its lead drug has no completed pivotal trial. The company says the net proceeds, with existing cash, would fund those trials.
