Gazelle Parent, Inc. filed a Form S-4 with the SEC on April 22, 2026 for the planned merger of Galera Therapeutics, Inc. and Obsidian Therapeutics, Inc. The registrant is Parent, not Obsidian. The document is a preliminary joint information statement and prospectus, marked as subject to completion, and the companies say they are not asking for a proxy.

## The deal terms

Galera, Parent, Obsidian and two Parent subsidiaries signed an Agreement and Plan of Merger on April 14, 2026. One subsidiary merges into Obsidian, which survives as a wholly owned subsidiary of Parent. The second then merges into Galera, which also survives as a wholly owned subsidiary. Obsidian holders receive Parent common stock under a formula the filing describes elsewhere. At closing, Parent is to be renamed Obsidian Therapeutics, Inc.

The filing says Parent common stock is expected to trade on Nasdaq under the symbol OBX. It also says there is no public market for Parent stock now, and there has never been one.

## The $350 million concurrent financing

On the same day, Galera agreed to sell Series C Non-Voting Convertible Preferred Stock to certain investors for about $350.0 million, reduced by any proceeds Obsidian receives from certain interim permitted financings. The filing calls this the concurrent financing. It closes before the mergers and depends on the merger conditions being met or waived. The cover letter names no placement agent for it. The appendix list includes an opinion of Lucid Capital Markets, LLC, and the cover letter does not describe that firm's role.

In the filing's illustration, at a $13.8 million valuation of Galera, pre-closing Galera holders would own about 1.8% of the combined company. Pre-closing Obsidian holders would own about 53.2%, and investors in the concurrent financing about 45.0%. Galera's net cash target is $1.8 million, and the valuation moves dollar for dollar against that target.

## Contingent value rights and legacy assets

Each Galera holder would receive two contingent value rights, or CVRs, per share. One pays 80% of any net proceeds from tilarginine, Galera's legacy product candidate, over five years after closing. The other pays 95% of any net proceeds from the Supportive-Care Product Divestiture over ten years. That divestiture is an October 15, 2025 asset sale in which Galera sold the small molecules GC4419 and GC4711 to Biossil, Inc.

The filing says the CVRs will expire valueless if no proceeds arrive within the set periods, and payments depend on milestone events. Galera holders therefore receive no assured value from the rights.

## Termination fees and stockholder approval

In certain cases Galera would pay Obsidian a $500,000 termination fee plus up to $250,000 of documented expenses. In other cases Obsidian would pay Galera $1,000,000 plus up to $250,000 of expenses.

Galera's charter amendments need stockholder approval. They cover a reverse stock split at a ratio between 1:75 and 1:200, and an increase in authorized common stock from 200 million shares to 400 million. Holders of a majority of Galera's shares have already acted by written consent to adopt the merger agreement, so Galera is not requesting a vote on it. The date the consent took effect is blank in the draft.

## Cash and the going-concern warning

One risk factor reports $80.5 million of cash, cash equivalents and marketable securities as of December 31, 2025. It says existing cash plus net proceeds of the mergers and concurrent financing will fund operations into the third quarter of 2026. The same risk factor says the auditor's report on the 2025 financial statements includes a paragraph expressing substantial doubt about the company's ability to continue as a going concern.

The passage uses "we" and does not say which company's figures they are. The passage ties funding into the third quarter of 2026 to the net proceeds of the mergers and the concurrent financing, alongside the going-concern doubt.

## The programs

The filing names OBX-115 as a product candidate, in risk factors that cover trial timing and cost and the shipping and storage of the drug at clinical sites. The merger has not closed, and the dates for the Galera written consent and for the final information statement are still blank in the draft.
