Gain Therapeutics, Inc. said on January 15, 2025 that it has regained compliance with a Nasdaq continued listing requirement, one week after it received a deficiency notice. The company reported both events in a single [Form 8-K filed January 15, 2025](https://www.sec.gov/Archives/edgar/data/1819411/000110465925003801/tm253348d1_8k.htm).

## The Nasdaq deficiency notice

On January 8, 2025, Gain received a letter, which it calls the "MVLS Deficiency Notice," from the listing qualifications department staff of The Nasdaq Stock Market. The letter said that from November 14, 2024 to December 27, 2024, the company's Market Value of Listed Securities (MVLS) was below the minimum of $50 million required for continued listing on The Nasdaq Global Market. The requirement sits in Nasdaq Listing Rule 5450(b)(2)(A), which the filing calls the MVLS Requirement.

A deficiency notice is a letter from Nasdaq staff saying a listed company has fallen below one of the exchange's continued listing standards. In this case the measure was the total market value of the company's listed securities, not its share price.

The company says the notice had no immediate effect on the listing of its common stock. The shares continued to trade on the Nasdaq Global Market under the symbol "GANX."

## Compliance regained

The filing states that as of January 14, 2025, Gain has regained compliance with the MVLS Requirement. Nasdaq staff provided written confirmation of compliance on January 15, 2025. The company says the matter is now closed.

Chief Executive Officer Gene Mack signed the report for the company.

## About Gain Therapeutics

Gain describes itself as a biotechnology company developing novel small molecule therapeutics for several therapeutic areas, including central nervous system disorders, lysosomal storage disorders, metabolic disorders and other diseases that can be targeted through protein degradation, such as oncology. These details come from its [annual report filed March 26, 2024](https://www.sec.gov/Archives/edgar/data/1819411/000155837024003943/ganx-20231231x10k.htm) and describe the business as of that date.

Its lead product candidate, GT-02287, is being developed for GBA1 Parkinson's disease and other synucleinopathies. The company wrote that in preclinical models of GBA1 Parkinson's disease, GT-02287 has been shown to restore glucocerebrosidase (GCase) function in the lysosome, reduce toxic lipid substrates and toxic forms of alpha-synuclein, improve survival of dopaminergic neurons and increase dopamine levels.

In September 2023, the company started a first-in-human Phase 1 trial of GT-02287 in Australia. The trial studies safety, tolerability, pharmacokinetics and food effect in healthy participants. It has a single ascending dose part and a multiple ascending dose part, in which participants receive one daily dose for 14 days at different dose levels. The company said it started the multiple ascending dose part in February 2024. At that time it planned to expand the study to include a cohort of 12-15 patients with Parkinson's disease, who would be treated for a period of three months.

Gain also uses a computational target and drug discovery platform called Magellan to find allosteric binding sites on proteins linked to disease, and to identify proprietary small molecules that bind those sites.

## People named in the filings

Matthias Alder signed the March 26, 2024 annual report, which predates this event, as Chief Executive Officer and Director, and Gianluca Fuggetta signed as Finance Vice President and as Principal Financial Officer and Principal Accounting Officer. The same report was signed by directors Khalid Islam, who is listed as Chairman of the Board of Directors, and Dov Goldstein, Hans Peter Hasler, Gwen Melincoff, Claude Nicaise, Eric I. Richman and Jeffrey Riley.
