## The compliance notice

Exicure, Inc. (Nasdaq: [XCUR](https://aibio.space/companies/exicure/)) said on August 4, 2025 that it had regained compliance with Nasdaq's periodic filing requirement under Listing Rule 5250(c)(1). The company says it was back in compliance as of July 1, 2025, based on its Form 10-Q for the quarter ended March 31, 2025. The Listing Qualifications Department of Nasdaq has sent a notice confirming compliance and stating that the matter has been resolved.

The announcement was filed as Exhibit 99.1 to a Form 8-K, and the release is dated from Redwood City, California. The release is short. It does not give the date of the 10-Q filing, the length of the delay or any other detail about how the company fell out of compliance.

## What the release says the company is

The release describes Exicure as a clinical-stage biotechnology company developing therapeutics for hematologic diseases. In the next paragraph, the same release says the company has historically been an early-stage biotechnology company focused on nucleic acid therapies, and that after a recent restructuring and suspension of clinical and development activities it is exploring strategic alternatives for its historical assets and more broadly.

Those two descriptions do not fit together well. The company's annual report on Form 10-K for 2024 says that in September 2022 Exicure cut staff, suspended preclinical activities and halted all research and development. The 10-K also says that after a September 2024 asset sale, the company no longer owns any intellectual property. The release does not name a current program or clinical trial for hematologic disease.

## The money behind the company

The 10-K shows how the company has been paying its way. It recognized $500,000 in February 2024 from an upfront payment on a license for historical patents, $637,000 of other income in the second quarter of 2024 from the sale of samples tied to that licensed product, and $1,500,000 in the third quarter of 2024 from selling its historical intellectual property and other assets. The 10-K says it does not expect those historical assets to generate significant value for stockholders.

The company says it obtained significant financing late in 2024 to keep operating and to pursue strategic alternatives. That financing came from HiTron Systems Inc. HiTron agreed on November 12, 2024 to buy 433,333 shares at $3.00 a share, for $1.3 million. On November 13, 2024 it agreed to buy 2,900,000 more shares at the same price, for $8.7 million, and that sale closed on December 24, 2024. As of March 12, 2025, HiTron owned 53% of the outstanding common stock.

As of that date a single holder owned more than half of the shares, and the company's own 10-K says the value from its historical assets is uncertain.

## What the regained status does not settle

Regaining compliance with the filing rule fixes one item on Nasdaq's list. It does not change the company's cash position, which the release does not disclose, or its strategic review, which the release says is continuing.

The release contains no forward-looking commitment on the business. It does not say whether Exicure plans to restart any program, and it does not say when the strategic alternatives process will conclude. The release relays Nasdaq's notice only through the company's own account, and says only that the matter is resolved. It does not attach the notice.
