Nasdaq has given Evogene until March 29, 2027 to lift its ordinary shares back above $1.00. The company says it may consider a reverse split. In 2025 it used $13.5 million in operations, and year-end cash was $13.0 million.

Evogene Ltd. (Nasdaq, TASE: EVGN) said on September 30, 2026 that Nasdaq has granted it an additional 180 calendar days to regain compliance with the minimum bid price requirement. The new period runs to March 29, 2027. The company reported the letter in an exhibit to a [Form 6-K](https://www.sec.gov/Archives/edgar/data/1574565/000117891326004654/exhibit_99-1.htm).

## The deficiency

Nasdaq notified Evogene on March 30, 2026 that, based on the previous 30 consecutive business days, its closing bid price for its ordinary shares had been below $1.00. That put the company out of compliance with Nasdaq Rule 5550(a)(2). The company then had 180 calendar days, until September 28, 2026, to regain compliance. Nasdaq staff found it eligible for a second 180-day period.

## What compliance requires

Evogene regains compliance if, at any time in the new period, its closing bid price is at least $1.00 for a minimum of ten consecutive business days. Nasdaq would then confirm compliance in writing and close the matter. If the company does not show compliance with the bid price requirement or any other listing requirement before March 29, 2027, Nasdaq staff will notify it that its securities will be delisted.

The release says that "continued listing on Nasdaq remains a key priority for the Company." It also says the letter has no immediate effect on the Nasdaq listing, and that the shares will keep trading on the Nasdaq Capital Market under the symbol EVGN during the cure period. The letter has no bearing on the Tel Aviv Stock Exchange listing.

## Reverse split

The release says that, if the situation does not resolve itself in the time allowed, the company intends to consider other options, "including potentially affecting a reverse share split among other alternatives." It gives no ratio, no timetable and no date by which the board would decide. It also gives no current share price, so the size of the gap to $1.00 cannot be read from the release.

## The company's finances

The annual report on Form 20-F, filed March 26, 2026, and its financial data show revenue of $3.9 million for 2025, against $5.6 million for 2024. Research and development expense was $8.0 million in 2025, against $12.5 million in 2024. The net loss was $7.8 million for 2025, against $18.1 million for 2024.

Cash used in operations was $13.5 million in 2025, against $19.7 million in 2024. Year-end cash and cash equivalents were $13.0 million at December 31, 2025, against $15.3 million a year earlier. The release does not update any of these figures for 2026.

## The business

The release describes Evogene as a pioneering company in computational chemistry, specializing in the generative design of small molecules for drug development and agricultural chemicals. Its core technology is ChemPass AI, which the company calls a proprietary generative AI.

The 20-F says the production of its subsidiaries' current commercial products, mainly castor beans from Casterra, relies in whole or in part on third-party contractors. It warns that failing to establish a long-term relationship with a manufacturer with sufficient capacity, relevant cost of goods sold and sufficient quality, "will affect" the subsidiaries' ability to meet demand for their products.

## What the release leaves out

The release gives no share count, no recent cash balance and no price for the stock. It does not say what the company would do if its shares remain below $1.00 on March 29, 2027, beyond saying it would consider other options. The company's own description of the listing as a key priority is not tied to any cost, timetable or plan in the release.
