Eupraxia Pharmaceuticals Inc. (TSX: [EPRX](https://aibio.space/companies/eupraxia-pharmaceuticals/)) filed a material change report on March 6, 2026 on the close of a public offering. The report gives February 20, 2026 as the date of the material change.

The company sold 7,607,145 common shares at a public price of US$7.00 per share. That figure includes 1,178,571 shares issued when the underwriters fully exercised their option to buy additional shares. In place of common shares, it also sold pre-funded warrants for up to 1,428,571 common shares at US$6.99999 each. Gross proceeds were approximately US$63.2 million, before underwriting commissions and estimated expenses.

Cantor Fitzgerald & Co. and LifeSci Capital LLC were joint book-running managers. Bloom Burton Securities Inc. and Craig-Hallum Capital Group, LLC were co-managers.

Eupraxia said it intends to use the net proceeds mainly to advance EP-104GI for Eosinophilic Esophagitis. That includes finishing preclinical studies and Phase 2 trials, preparing for a Phase 3 trial and manufacturing. It also plans to use part of the money to expand clinical studies of EP-104GI into other gastrointestinal indications, including esophageal strictures and fibrostenotic Crohn's disease. The rest is for other pipeline candidates, business development and general corporate purposes.

The offering used a U.S. registration statement on Form F-10 and a Canadian short form base shelf prospectus dated February 5, 2024.
