Eton Pharmaceuticals, Inc. (Nasdaq: [ETON](https://aibio.space/companies/eton-pharmaceuticals/)) completed its acquisition of Galzin (zinc acetate) from Teva Pharmaceuticals USA, Inc. on December 31, 2024. The company reported the deal in a [Form 8-K filed January 3, 2025](https://www.sec.gov/Archives/edgar/data/1710340/000143774925000109/eton20241219_8k.htm) under Item 2.01, which covers completed acquisitions and dispositions of assets. Eton paid $7.0 million at closing and a further $0.2 million for product inventory. Its own release, filed as Exhibit 99.1, announced the transaction on January 3, 2025.

## What Eton bought

The filing describes Galzin as the only FDA-approved zinc treatment for the maintenance of patients with Wilson Disease who have first been treated with a chelating agent. The 8-K estimates that fewer than 5,000 patients in the United States are being treated for it.

Eton also acquired the European rights to the product. There, a third party sells it under the tradename Wilzin. Under an existing agreement, Eton will keep supplying the product to that third party, which handles all commercialization in Europe.

Eton expects to take over commercialization of Galzin in the United States in the first quarter of 2025, using its metabolic sales force to call on healthcare professionals who treat Wilson Disease.

## The terms

Under the asset purchase agreement, Eton paid $7.0 million at closing and $0.2 million for inventory. It will also pay Teva a royalty of 10% of U.S. net sales through the tenth anniversary of its first commercial sale of the product in the United States. A royalty is a share of sales paid to the owner of the rights.

The agreement is dated December 31, 2024 and is filed as Exhibit 10.1. The 8-K says portions of the exhibit are redacted. The filing does not state the total price if royalties and any other payments are counted, and it does not give a value for the product's sales.

The royalty clock starts only with the first U.S. commercial sale, which the filing places in the first quarter of 2025. Until that sale, Eton has paid for the product and inventory but has no royalty figure to report. The 8-K does not give a date for the first sale.

## Who advised

The 8-K names no adviser or law firm for either side, and the company's press release is listed as an exhibit rather than described in the body.

## What the filings do not show

The latest annual report available is the 10-K filed March 14, 2024, which covers 2023. That report predates the acquisition, and the 8-K does not disclose Galzin's recent sales, its gross margin or how much of the 10% royalty the company expects to pay. Without those figures, the price cannot be compared with the product's revenue.

The deal also leaves Eton with a royalty obligation that runs for a decade after its first U.S. sale, and with a supply obligation to a third party in Europe that it does not control. The 8-K does not say how the company will fund the inventory and launch costs beyond the amounts it has paid, or whether the sales force change will affect its other products.

The filing describes a rare-disease product with a limited patient base, and it states the number of patients as an estimate. Eton's revenue from the product will depend on how many of those patients it can reach and keep on therapy, and the 8-K gives no figure for either.
