Equillium, Inc. (Nasdaq: [EQ](https://aibio.space/companies/equillium/)) has been given 180 more calendar days by Nasdaq to meet the minimum bid price requirement, now until December 8, 2025. The company disclosed the extension in a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1746466/000095017025086155/eq-20250612.htm) filed June 13, 2025. The first deadline was June 11, 2025. Nasdaq's notice on June 12, 2025, said that if the company cannot show compliance by December 8, 2025, its staff will tell the company that its common stock will be delisted, and the company could then appeal to a hearings panel.

## The notice history

Equillium received the original notice on December 13, 2024, after its stock stayed below $1.00 for 30 consecutive business days. The company was given 180 days, to June 11, 2025, to regain compliance. The original notice cited Nasdaq Listing Rule 5550(a)(2). The 8-K says the company will actively monitor the bid price and consider available options, including a reverse stock split. It also says the notice has no immediate effect on the listing, and that the stock continues to trade on the Nasdaq Capital Market under the symbol EQ. Bruce D. Steel, President and Chief Executive Officer, signed the 8-K.

The 8-K does not say when a reverse split would take place or what ratio the company is considering. It also does not give the stock's price at the date of filing.

## The trial behind the stock

The company's [annual report for 2024](https://www.sec.gov/Archives/edgar/data/1746466/000095017025045726/eq-20241231.htm) describes the stock's main problem. Its lead candidate, itolizumab, missed its primary goal in the Phase 3 EQUATOR study of acute graft-versus-host disease. Topline results announced in March 2025 showed that itolizumab did not meet the Day 29 complete response outcome, the primary outcome, or the overall response rate, a key secondary outcome.

The company points to what it calls a clinically meaningful improvement in durable complete response from Day 29 to Day 99, and to statistically significant results on two pre-specified secondary endpoints, duration of complete response and failure-free survival. The median duration of complete response was 336 days with itolizumab, against 72 days for placebo. Median failure-free survival was 154 days, against 70 days for placebo. The primary outcome was the Day 29 complete response, which the trial missed.

The report says the company has paused development of EQ101 pending additional funding or partnering, and that its runway assumes no further development work on EQ302, a preclinical candidate, or EQ101.

## The money

The 2024 annual report reports $22.6 million in cash, cash equivalents and short-term investments at December 31, 2024. It says those funds will be sufficient to fund operations into the third quarter of 2025, and that the company's liquidity position and recurring losses raise substantial doubt about its ability to continue as a going concern. The report says the company will need substantial additional funding to complete development of itolizumab and EQ302 if it resumes development of EQ302.

That runway rests on cash-saving initiatives, including headcount reductions and accelerating completion of the EQUATOR study on reduced enrollment. If capital is not raised, the report says, the company may be forced to delay, reduce or eliminate programs. The 8-K, filed in June 2025, gives no new cash figure, no financing plan and no runway date beyond the third quarter of 2025.

## What the deadlines mean

The December 8, 2025 date is the company's next fixed deadline. Under Nasdaq's notice, failing to show compliance by then sets up a delisting determination and the possibility of an appeal. The company's stated options are to monitor the bid price and consider a reverse stock split. The 8-K does not say whether the company intends to hold a stockholder vote on a split, or whether it expects a partner to fund the paused programs.
