Elutia Inc. (Nasdaq: [ELUT](https://aibio.space/companies/elutia/)) completed the sale of its SimpliDerm business to Cellution Biologics Inc. on August 17, 2026. The company reported the closing in a [Form 8-K filed August 21, 2026](https://www.sec.gov/Archives/edgar/data/1708527/000110465926099731/elut-20260817x8k.htm). The 8-K says $7.7 million of the purchase price was paid to Elutia at closing. The price is subject to a possible adjustment based on a post-closing inventory valuation, and it could include up to an additional $3 million in contingent payments. Matthew Ferguson, Chief Financial Officer, signed the filing.

## What was sold

Cellution Biologics, a Delaware corporation, agreed in an asset purchase agreement dated July 16, 2026 to buy substantially all of the assets related to Elutia's business of commercializing, manufacturing, distributing, selling and marketing human acellular dermis products for breast reconstruction under the SimpliDerm brand. The filing says those assets made up substantially all of the assets of Elutia's Women's Health segment.

## The terms of the sale

The contingent payments could be paid over the next 18 months, depending on whether certain technology transfer and commercial milestones are met. The filing's forward-looking statements warn of an unfavorable inventory valuation and of milestones that are not met, or only partly met.

The [press release dated August 18, 2026](https://www.sec.gov/Archives/edgar/data/1708527/000110465926099731/elut-20260817xex99d1.htm), filed as Exhibit 99.1, describes the deal more broadly. It gives total consideration of up to $11 million, made up of $8 million at closing, subject to customary adjustments for inventory levels and transaction expenses, plus up to $3 million in milestone payments over 18 months. The company calls this non-dilutive capital, meaning money that does not come from selling new shares. The release's headline figure of $8 million at closing is higher than the $7.7 million the 8-K says was paid, and the filing does not reconcile the two.

At closing Elutia also agreed to restrictive covenants in business lines related to human acellular dermis products for five years. It agreed to provide Cellution Biologics with transitional support services for up to six months. It also amended its loan and security agreement dated August 11, 2026 with Avenue Venture Opportunities Fund II, L.P., as agent, and the lenders party to it, to release the lien on the sold assets.

## What Elutia says it will do next

The release says the sale concentrates the company's attention and resources on NXT-41x, an antibiotic-eluting biomatrix designed to address post-operative infection in the approximately $1.5 billion U.S. plastic and reconstructive surgery market. Elutia expects FDA clearance of NXT-41x in the first half of 2027. It also says that, with this closing and previously announced funding sources, it believes it has secured sufficient funding to support operations through the first full year of the NXT-41x commercial launch in 2028. The company plans to commercialize NXT-41x first in U.S. plastic and reconstructive surgery, then expand into general and oncologic surgeries.

Dr. Sonali Fonseca, Vice President of Emerging Business, who led the divestiture effort, said the sale was an important step in "providing additional funding while sharpening our focus on bringing NXT-41x to patients."

The release's forward-looking statements also list the company's ability to service its indebtedness, its ability to regain compliance with Nasdaq's minimum bid price requirement, its ability to keep its Class A common stock listed on the Nasdaq Capital Market, and its ability to raise funds in the future in the amounts and at the times needed.

## About the company

In its [annual report on Form 10-K filed March 13, 2026](https://www.sec.gov/Archives/edgar/data/1708527/000110465926027664/elut-20251231x10k.htm), Elutia says it develops proprietary drug-eluting biomatrix products for use in surgical reconstruction. On October 1, 2025 it sold its cardiac implantable electronic device business, which included EluPro and CanGaroo, to Boston Scientific Corporation and Cardiac Pacemakers Inc. for an aggregate purchase price of up to $88.0 million in cash. The company's financial data show how thin its cash is. It used $44.8 million in operations in 2025, against $22.7 million in 2024, and had cash and cash equivalents of $19.9 million at June 30, 2026. For 2025 it reported net income of $53.4 million, against a net loss of $53.9 million in 2024. The report says that, after that sale, the company is focused on advancing its drug-eluting biomatrix platform.
