Eledon Pharmaceuticals, Inc. (Nasdaq: [ELDN](https://aibio.space/companies/eledon-pharmaceuticals/)) entered into an exchange agreement on December 30, 2025 with Coastlands Capital Partners LP. The holder agreed to exchange 4,203,764 shares of Eledon common stock for a pre-funded warrant to purchase up to 4,203,764 shares of common stock. The exchange closed the same day, according to an 8-K filed January 2, 2026.

The warrant has an initial exercise price of $0.001 per share, subject to certain adjustments. It is exercisable immediately and can be exercised at any time until it is exercised in full.

The holder and its affiliates may not exercise any part of the warrant if doing so would leave them owning more than 4.99% of the common stock outstanding right after the exercise. The holder can raise that limit on 61 days' prior notice to the company. Where applicable Nasdaq Marketplace Rules require it, the limit may not go above 19.99%.

Eledon issued the warrant without registration under the exemption in Section 3(a)(9) of the Securities Act of 1933.
