Electra Therapeutics filed a Form S-1 on August 28, 2026, and the cover leaves the share count and price range blank. Its auditor's report includes a going concern paragraph, and the company says its cash may not cover the next 12 months.

Electra Therapeutics, Inc. filed a [Form S-1](https://www.sec.gov/Archives/edgar/data/2088082/000119312526374259/d61940ds1.htm) registration statement with the Securities and Exchange Commission on August 28, 2026 for an initial public offering of common stock. The South San Francisco company is a Delaware corporation. The cover page leaves blank the number of shares, the price range and the underwriters' discount, and it says no public market for the shares exists yet.

## The offering and its blanks

Electra has a proposed listing on the Nasdaq Global Select Market under the symbol ETRA. The cover names Jefferies, TD Cowen, Evercore ISI and Cantor as underwriters. It gives those names in short form only, without full entity names, and the filing does not say which of them is lead or sole book-runner. The underwriters would have a 30-day option to buy additional shares.

The cover lists Cooley LLP and Latham & Watkins LLP under "Copies to," without saying which firm represents the company and which represents the underwriters. The share count after the offering is based on 59,158,361 shares outstanding as of June 30, 2026, which includes 59,114,361 shares that will be issued when all redeemable convertible preferred stock converts at closing.

The company says it intends to use the net proceeds, together with its existing cash, cash equivalents and marketable securities, to advance ipsoprubart in secondary hemophagocytic lymphohistiocytosis (sHLH) through its Phase 2/3 trial and toward a biologics license application. The rest would go to T and NK cell malignancies, other immune-mediated disorders, other research, capital expenditures and working capital.

## The lead drug and its data

Electra calls itself a late clinical-stage biopharmaceutical company focused on signal regulatory protein (SIRP) targeting. Its lead candidate, ipsoprubart, is described as a pan-SIRP monoclonal antibody designed to deplete myeloid cells and T cells that drive disease. The company says it is the first to take a SIRP-targeted approach into clinical development and show proof of concept in humans. The filing presents that as the company's own view.

The main data come from a Phase 1b trial. The S-1 says ipsoprubart was generally well tolerated and produced a 100% 8-week overall survival rate and a 100% overall response rate in 12 frontline patients with malignancy-associated HLH. Of those 12 patients, 10 had a partial response and two had a modified complete response. The filing does not describe the trial as randomized or controlled. It also cites eight evaluable patients with T or B cell lymphomas, from the Phase 1b trial and an expanded access program, with a 100% objective tumor response rate.

The pivotal effort is SURPASS, a global Phase 2/3 registrational trial in newly diagnosed, treatment-naive sHLH patients. A natural history study called COMPASS is meant to supply an external control. Electra expects to complete enrollment in the registrational program in the second half of 2027. The FDA has granted ipsoprubart Breakthrough Therapy designation for the sHLH indication, and the European Medicines Agency has granted PRIME designation for the same use. Neither designation is an approval.

## Losses and going-concern doubt

The S-1 reports a net loss of $48.9 million for the six months ended June 30, 2026, against $25.4 million for the same period of 2025. Net cash used in operating activities was $38.9 million in the 2026 period and $24.7 million in 2025. The accumulated deficit stood at $221.9 million on June 30, 2026, and the company has funded its operations mainly through redeemable convertible preferred stock.

The filing says the auditor's report on its financial statements includes a going concern explanatory paragraph. Management concluded that its cash, cash equivalents and marketable securities as of June 30, 2026 may not be sufficient to fund projected operating expenses and capital expenditures for the next 12 months, and that substantial doubt exists about its ability to continue as a going concern. The company says that, with the proceeds of this offering, its cash should last through a date the cover leaves blank.

Electra also says it expects its expenses and operating losses to increase substantially for the foreseeable future.

## People

Quehuong (Kathy) Dong, Pharm.D., M.B.A., is president and chief executive officer, and Chris Clark, C.F.A., is chief financial officer. After Bioverativ acquired True North Therapeutics, Dr. Dong was head of new product planning for Sanofi's complement franchise, the S-1 says.
