## The pricing

Eikon Therapeutics, Inc. priced its initial public offering at $18.00 per share in a prospectus dated February 4, 2026. The company is offering 21,177,600 shares of common stock, for a total of $381,196,800. Underwriting discounts and commissions are $1.26 per share, or $26,683,776, which leaves proceeds to Eikon of $16.74 per share, or $354,513,024, before expenses. The prospectus estimates net proceeds of approximately $349.0 million, or approximately $402.2 million if the underwriters exercise their option in full. The option runs for 30 days and covers 3,176,640 additional shares. The underwriters expect to deliver the shares on or about February 6, 2026. Eikon's common stock has been approved for listing on the Nasdaq Global Select Market under the symbol EIKN. Before the offering there was no public market for the stock.

## Who is named

The prospectus lists J.P. Morgan, Morgan Stanley, BofA Securities, Cantor and Mizuho as underwriters. The cover lists the five firms in alphabetical order, with J.P. Morgan and Morgan Stanley marked by an asterisk, and gives no legal entity names.

## The reverse split and the share count

The prospectus gives its share, option and warrant figures after a 1-for-7.4578 reverse stock split effective January 27, 2026. Shares outstanding after the offering are listed at 53,984,337, or 57,160,977 if the option is exercised in full. As of September 30, 2025, options covering 5,699,416 shares were outstanding at a weighted average exercise price of $9.67, warrants covering 739,559 shares were outstanding at $43.59, and 1,380,717 shares were reserved under the 2019 plan.

## The money and the going-concern warning

The company reported a net loss and comprehensive loss of 243,814 thousand dollars for 2024, against 241,997 thousand for 2023. For the nine months ended September 30, 2025, the net loss was 244,593 thousand dollars, against 178,890 thousand for the same nine months of 2024, and research and development expense was 185,089 thousand dollars. The company has never generated revenue from product sales. The prospectus says its recurring losses and financial condition raise substantial doubt about its ability to continue as a going concern. That conclusion is tied to its unaudited interim statements for the nine months ended September 30, 2025. In those statements the company says it has capital to fund its operating plan for about twelve months from their issue date, after which it will need more equity or debt capital, and that additional capital had not been secured. The company also estimates cash, cash equivalents and short-term investments of approximately $336.0 million at December 31, 2025, and warns that its year-end closing is incomplete and the final figure may differ materially.

## The science is still early

The most advanced candidate, EIK1001, is a TLR 7/8 dual-agonist in a global Phase 2/3 registrational trial with pembrolizumab in advanced melanoma. The company says the trial is designed to proceed to completion, subject to an interim analysis by a data monitoring committee. It expects that first interim analysis in the second half of 2026. A separate Phase 2/3 trial in non-small cell lung cancer is in site selection, with approximately 750 patients planned. The company expects to dose its first patient in that trial in the second half of 2026. The use-of-proceeds section ties the money to the next steps for EIK1001, EIK1003, EIK1004 and EIK1005, and the prospectus summary reports no efficacy results from any trial. The PARP1 candidates EIK1003 and EIK1004 are in Phase 1/2 trials. The company says non-selective PARP inhibitors such as olaparib are associated with hematologic toxicity, particularly anemia. That is the reason given for the selective design, and it is a claim the company has not yet tested in its own trials. The prospectus also says the track records of Roger M. Perlmutter, its chair and chief executive officer, and Roy Baynes, its chief medical officer, do not guarantee clinical success.
