## What holders approved

Editas Medicine, Inc. (Nasdaq: [EDIT](https://aibio.space/companies/editas-medicine/)) stockholders approved an amendment to the company's Restated Certificate of Incorporation at the Annual Meeting held on May 29, 2025. The amendment raises authorized common stock from 195,000,000 shares to 390,000,000, and total authorized capital stock from 200,000,000 shares to 395,000,000. The company filed the certificate with the Delaware Secretary of State on June 2, 2025, and it took effect on filing. The company says the added common stock carries rights identical to the stock already outstanding. The vote on the charter amendment was 38,719,409 for, 13,205,693 against and 657,237 abstaining. That is the largest against count of any item at the meeting. The filing does not say the company plans to issue any of the new shares, but the authorization gives its board room to do so without another vote.

## The equity plan

Holders also approved an amendment and restatement of the 2015 Stock Incentive Plan, by 20,101,589 votes for and 6,265,763 against, with 162,128 abstaining. The amended plan extends its term to ten years from the date of stockholder approval and eliminates the evergreen provision. The 8-K lists other changes: updated delegation of equity granting authority to officers, a rule that dividends on restricted stock and units vest and forfeit with the underlying award, and no dividend equivalents on options and stock appreciation rights. The plan also permits withholding of shares for taxes in an amount above the statutory minimum. The 8-K describes that as in line with current accounting guidance. The full text of the plan is filed as Exhibit 10.1, and the description of its material differences refers readers to pages 59 to 67 of the April 2025 proxy statement.

## Directors, say-on-pay and the auditor

Jessica Hopfield, Ph.D., and David Scadden, M.D., were elected as Class III directors until the 2028 Annual Meeting. Hopfield received 21,212,129 votes for and 5,317,351 withheld. Scadden received 24,052,406 votes for and 2,477,074 withheld. Broker non-votes were 26,052,859 for each director. The advisory vote on executive pay passed with 16,066,738 votes for, against 10,241,052 votes against and 221,690 abstentions. On frequency, 25,160,123 votes favored an annual advisory vote, against 88,345 for 2 years and 964,874 for 3 years. Ernst & Young LLP was ratified as the independent registered public accounting firm by 51,108,970 votes for, against 1,162,233 and 311,136 abstaining.

## The company behind the vote

The 10-K describes Editas as a gene editing company that uses CRISPR technology to create molecules that edit DNA, with a stated goal of in vivo programmable gene editing. It says the company believes it can create gene editing molecules for more than 95% of the human genome. Those are the company's own claims about breadth, not clinical results. The company says it is no longer developing reni-cel, the ex vivo program it previously ran for sickle cell disease and transfusion-dependent beta thalassemia. It says clinical data from that program showed the company can edit hematopoietic stem cells efficiently. Its current in vivo work is preclinical: proof of concept in humanized mice and, in January 2025, in non-human primates, with a stated plan to share more preclinical data in 2025.

## What the filing does not show

The 8-K contains no balance sheet, no cash figures and no share count, so the new authorization cannot be measured against the shares already outstanding. The filing does not state a reason for the increase beyond the charter amendment itself. The company's ability to use the added shares depends on future board decisions that the 8-K does not describe.
