Edesa Biotech, Inc. (Nasdaq: [EDSA](https://aibio.space/companies/edesa-biotech/)) amended its multi-year funding agreement with the Government of Canada on September 30, 2025. The amendment moves the first annual repayment on the partially repayable funding to 2032 from 2029, and it extends the project completion date to December 31, 2028. The company reported the change in a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1540159/000117184325006188/f8k_093025.htm) under Items 1.01 and 2.03.

## The original agreement

On October 12, 2023, Edesa Biotech Research, Inc., a wholly owned subsidiary, and Edesa Biotech, Inc. as guarantor entered into a multi-year contribution agreement with the Government of Canada. The government committed up to CAD $23 million ($17 million USD) in partially repayable funding.

The money is directed toward the company's Phase 3 clinical study of its experimental drug EB05 in critical-care patients with acute respiratory distress syndrome (ARDS) caused by Covid-19 or other infectious agents. It also covers submitting EB05 for governmental approvals and manufacturing scale-up, subject to completing the Phase 3 study, and two non-clinical safety studies of EB05's potential long-term effects.

## What the amendment changes

Amendment Agreement No. 1 was signed on September 30, 2025 by Edesa Biotech Research, the company and the government. It changes the clinical focus for EB05 to general ARDS from Covid-19 induced ARDS. It also lets the company benefit from a U.S. government platform study of host directed therapeutics, including EB05, which the filing says is fully funded.

The amendment extends the project completion date to December 31, 2028 from December 31, 2025. It moves the expiration date of the agreement to the later of December 31, 2045, from December 31, 2042, or the date of the last repayment. It adds reporting requirements for other similar EB05 projects and replaces the statement of work.

On repayment, the first annual payment moves to 2032 from 2029, and repayment begins only if the company earns gross revenue. The 8-K says the other terms remain in effect. A copy of the amendment will be filed with the annual report on Form 10-K for the fiscal year ending September 30, 2025.

## Financing context

No underwriter, placement agent, financial adviser, lender or other bank is named in the 8-K or in the company's 2024 annual report for this agreement. The funding comes from the Government of Canada under the contribution agreement.

The company's 2024 annual report, filed December 13, 2024, carried a going concern warning. It says recurring losses from operations have raised substantial doubt about the company's ability to continue as a going concern. At September 30, 2024, the accumulated deficit stood at $58.6 million. The company's net loss was $6.2 million for the year ended September 30, 2024, compared with $8.4 million the year before. In October 2024 it entered an At The Market Offering Agreement with H.C. Wainwright & Co., LLC as sales agent for up to $3.87 million in gross proceeds, and it sold 220,269 common shares under it for net proceeds of $0.6 million. It also sold preferred shares under a Securities Purchase Agreement with Pardeep Nijhawan Medicine Professional Corporation, an entity controlled by its Chief Executive Officer. The report says its cash and these proceeds will not fund operations for 12 months. The report adds that the company will need substantial additional funding to finance operations through regulatory approval of its product candidates, and that it may have to scale back or eliminate some planned clinical trials if funding is not found.

## Business and pipeline

In its annual report, Edesa describes itself as a biopharmaceutical company developing treatments for inflammatory and immune-related diseases, with pipeline programs in Medical Dermatology and Respiratory. Its dermatology candidate EB06 is an anti-CXCL10 monoclonal antibody for vitiligo, and the report says Health Canada approved a Phase 2 proof of concept study for it.

The report says EB05 is being evaluated in a U.S. government-funded platform study in hospitalized adult ARDS patients. It also says certain EB05 development costs, including manufacturing scale-up, can be reimbursed by the Government of Canada under a 2023 grant and funding award.
