## The terms

Dyadic International, Inc. (Nasdaq: [DYAI](https://aibio.space/companies/dyadic-international/)) is selling 6,052,000 shares of common stock at $0.95 per share in an underwritten public offering. The terms are set out in its [final prospectus supplement](https://www.sec.gov/Archives/edgar/data/1213809/000164117225021784/form424b5.htm) dated July 30, 2025. The preliminary supplement filed the same day leaves the price blank, so the final version is the one that sets the terms. Gross proceeds are $5,749,400. Underwriting discounts and commissions are $0.0665 a share, or $402,458 in total, leaving proceeds before expenses of $5,346,942. The company estimates total offering expenses of $410,000, including up to $75,000 of the underwriter's fees and expenses. The supplement says that reimbursement may cover the underwriter's counsel, but it does not name that counsel. Craig-Hallum is the sole managing underwriter. The company has agreed to issue it warrants to buy 302,600 shares, exercisable at $1.0925 a share and on a cashless basis. The company also agreed to indemnify the underwriter against certain liabilities, including those under the Securities Act. Delivery of the shares was expected on or about August 1, 2025. The offering price is $0.95 against a last reported sale price of $1.1750 on July 29, 2025. The company's press release on the offering described it as subject to market and other conditions, and said there could be no assurance it would be completed or as to its actual size or terms.

## Who is buying

Joseph Hazelton, Dyadic's President and Chief Operating Officer, agreed to buy 26,000 shares at the public offering price. The underwriter receives the same discount on those shares as on any others sold in the offering. The preliminary supplement had described an indication of interest of approximately $25,000 from Mr. Hazelton, and said such indications are not binding.

## Float, listing and the shelf limit

The supplement puts the market value of non-affiliate shares at approximately $24.7 million, based on 30,135,798 shares outstanding, of which 9,077,623 were held by affiliates, at the July 29 price of $1.1750. Under General Instruction I.B.6 of Form S-3, the company cannot sell more than one-third of its public float in a public primary offering in any 12-month period while that float stays below $75.0 million. The company says it has sold no securities under that rule in the prior 12 months. The company also has a listing problem. In a deficiency notice dated June 23, 2025, Nasdaq said Dyadic's market value of listed securities had been below the $35 million minimum for 30 consecutive business days. The notice has no immediate effect on the listing. Under Nasdaq rules the company had 180 calendar days, until December 20, 2025, to regain compliance. On July 17, 2025, Nasdaq sent a separate notice that the bid price had stayed under $1 per share for 30 consecutive business days, with a deadline of January 13, 2026. The $0.95 offering price is itself below that $1 minimum. The supplement's risk factors say the company has in the past been unable to comply with Nasdaq's listing standards, and that delisting could follow. They tie a fall in the share price and a harder time raising capital to a substantial impairment of the company's ability to continue as a going concern.

## Use of proceeds and the research partners

The company says it intends to use the net proceeds for working capital and general corporate purposes, such as product development, sales and marketing. The press release describes Dyadic as a global biotechnology company focused on the scalable production of functional input proteins for life sciences, food and nutrition, and industrial biotechnology, using its proprietary gene expression platforms. The annual report's risk factors describe heavy reliance on third-party research organizations and contract research organizations, or CROs. They warn that losing a CRO could make a replacement hard to find, could cause delays of several months in qualifying another, and could require substantial capital investment. They also say conflicts with CROs, collaborators and licensees could harm the business.

## What the supplement leaves out

The supplement does not state a cash balance or a net loss. Its gross proceeds of $5,749,400 come against a $24.7 million non-affiliate float, a price below the last sale, an open listing notice and a stated going-concern risk.
