## The deal terms

Dogwood Therapeutics, Inc. said on October 19, 2026 that it entered into a securities subscription agreement for a $5 million investment from a subsidiary of CK Life Sciences Int'l., (Holdings) Inc., which the company calls its largest shareholder. Dogwood will issue an aggregate of 4,098,360 shares of common stock at $1.22 per share. The company says the private placement is priced at-the-market under Nasdaq rules. No warrants or other derivative securities are included. The deal is expected to close on or prior to October 29, 2026. The shares are sold under Section 4(a)(2) of the Securities Act and Regulation D, and they have not been registered. The company says it expects to use the net proceeds for Phase 3 preparatory activities for Halneuron and for working capital. The release says that upon closing, the proceeds extend the runway through March 2027, by which time the company expects to finalize a pivotal Phase 3 program design for Halneuron in CINP.

## Who is named and who is not

CK Life Sciences is listed on The Stock Exchange of Hong Kong Limited under stock code 0775, and describes itself as a member of the CK Hutchison Group. The release names no placement agent, underwriter or financial advisor for the private placement, and it names no counsel. The only outside firm in the release is LifeSci Advisors, LLC, whose managing director is listed as the investor relations contact. Chief Executive Officer Greg Duncan said the investment "reflects their confidence in the potential of Halneuron® and our HAL-CINP Phase 2b program." That is the company's characterization of an investment by its largest holder. The release describes the price, share count, closing date and absence of warrants, and nothing more about the terms.

## Cash, losses and the runway

The 2025 annual report shows a net loss of $34.3 million, research and development expense of $21.9 million and cash used in operations of $15.6 million. For 2024 the figures were a net loss of $12.3 million, research and development of $3.5 million and cash used in operations of $8.8 million. Year-end cash and cash equivalents fell from $14.8 million at December 31, 2024 to $6.5 million at December 31, 2025. The balance stood at $9.6 million at June 30, 2026. The company describes itself as pre-revenue. Its release lists among its risks the closing conditions for the placement, whether it can complete the placement on the anticipated timeline or at all, and its ability to finance its operations.

## The trial behind the money

Halneuron is in a Phase 2b trial called HAL-CINP. The release describes it as a randomized study comparing Halneuron with placebo in 239 patients with moderate to severe neuropathic pain caused by prior platinum or taxane chemotherapy. Participants received 8 subcutaneous doses over a 14-day period and are followed for a total of 28 days. The primary endpoint is the change from baseline to week four in the weekly average of daily 24-hour recall pain intensity scores, at about 25 sites in the United States. The company expects topline data in November 2026. The earlier Phase 2 study in cancer-related pain enrolled 165 patients at 19 sites. The company reported that 51% of Halneuron patients had at least a 30% pain reduction, against 35% on placebo. The annual report says all patients in the Halneuron group reported at least one treatment-emergent adverse event considered related to the drug. That study was small, and its benefit figures come from the company. The annual report also estimates the CINP drug market at about $2.8 billion a year, citing a 2018 DelveInsight figure, and the larger cancer-related pain market at about $7.5 billion by 2027, citing Allied Market Research. The company says Halneuron has fast track designation from the FDA for CINP. Its second candidate, SP16, is the focus of a planned Phase 1b study that the National Cancer Institute fully funds.
