# Dermata Therapeutics regains Nasdaq compliance after hearing panel exception

Tickers [DRMA](https://aibio.space/companies/dermata-therapeutics/)

Nasdaq staff told Dermata on August 22, 2025 that the company again meets the $1.00 minimum bid price, which closes the matter. The company needed a hearing panel's exception to reach that point, and its 8-K gives no cash figure.

Dermata Therapeutics, Inc. (Nasdaq: [DRMA](https://aibio.space/companies/dermata-therapeutics/)) said in a Form 8-K dated August 22, 2025 and filed August 25, 2025 that it has regained compliance with Nasdaq's $1.00 minimum bid price requirement. The filing is short, and it describes a case that began in May and ran through a hearing before a Nasdaq panel. The company is a Delaware corporation based in San Diego, and its common stock and warrants trade on the Nasdaq Capital Market.

## The notice and the reverse split

On May 14, 2025, the Listing Qualifications staff of Nasdaq told the company that, based on the closing bid price, its common stock had been below $1.00 for the prior 30 consecutive business days. The notice cited Nasdaq Listing Rule 5550(a)(2). Because the company had carried out a reverse stock split within the prior one-year period, staff said the securities were subject to delisting from the Nasdaq Capital Market and would be suspended at the opening of business on May 23, 2025.

The 8-K does not give the date of that reverse split, its ratio, or the bid price on the day the notice was received. It also does not say how the company plans to keep the bid price above $1.00 going forward, which matters for a company that has already needed a reverse split within a year.

## The hearing and the panel exception

Dermata asked for a hearing before a Nasdaq panel. The request stayed any suspension or delisting while the hearing process ran. On July 2, 2025, the panel granted the company an exception until August 14, 2025 to demonstrate compliance with the minimum bid price requirement.

On August 22, 2025, the company received a letter from the staff saying that it had regained compliance and that the matter is now closed. The 8-K describes that letter and nothing more. It does not say how many days the price was above $1.00 before the letter, and it does not report a closing bid price. The staff letter is dated after the August 14, 2025 date the panel had set, and the 8-K does not explain the gap.

## The business and what the filing leaves out

Dermata describes itself as a late-stage medical dermatology company. Its lead candidate, XYNGARI, is a two-gram powder processed from the freshwater sponge Spongilla lacustris. Its initial focus is acne, which the annual report says has a U.S. market of approximately 30 million patients seeking treatment. The patient mixes the powder with 3% hydrogen peroxide immediately before application, and the drug is intended for once-weekly use.

The company completed enrollment in November 2024 in the first of two planned Phase 3 trials of XYNGARI in moderate-to-severe acne. The annual report expected top-line results from that trial in March 2025. The second Phase 3 trial, which will enroll over 500 patients, is to be followed by an extension study at the FDA's request, covering a 12-month total treatment period. The report cites a Phase 2b study in which the company says it saw a 45% reduction in inflammatory lesions after four treatments. That is earlier-stage data than the two Phase 3 trials. The report also describes a Phase 1b proof-of-concept study in psoriasis, which the company calls encouraging, and says further work there depends on receipt of adequate funding.

The 8-K contains no cash balance, net loss or runway. The 8-K does not mention the first Phase 3 trial, whose top-line results the annual report expected in March 2025. The bid-price case closed, but the 8-K says nothing about the company's spending or how it will fund the two Phase 3 trials. Gerald T. Proehl, the chief executive officer, signed the filing.
