Dermata Therapeutics, Inc. (Nasdaq: [DRMA](https://aibio.space/companies/dermata-therapeutics/)) has entered into definitive agreements for a private placement of 2,293,608 shares of common stock, or pre-funded warrants in lieu of them, together with Series E warrants and short-term Series F warrants, each covering up to 2,293,608 shares. The company announced the deal in a press release dated August 17, 2026, filed as Exhibit 99.1 to a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1853816/000149315226038647/ex99-1.htm). The purchase price is $1.46 per share, and the release says the offering is priced at-the-market under Nasdaq rules.

Gross proceeds are expected to be about $3.4 million before offering expenses. If the Series E and short-term Series F warrants were exercised in full on a cash basis, the company says it would receive about $6.7 million more. The release states that no assurance can be given that any of the warrants will be exercised, or that the company will receive cash from them.

## The terms

Both warrant series have an exercise price of $1.46 per share. The Series E warrants will be exercisable from the effective date of stockholder approval of the issuance of the underlying shares, and they expire five years from that date. The Series F warrants expire twenty-four months from the same effective date. The closing is expected on or about August 18, 2026, subject to customary closing conditions.

Company insiders are participating in the offering. The release names the Chief Executive Officer, the Chief Financial Officer and a member of the management team. Under Nasdaq rules, the purchase price for insiders is $1.47 per share, and the exercise price of the warrants they buy is also $1.47.

The securities are being sold in a private placement under Section 4(a)(2) of the Securities Act of 1933, as amended, and Regulation D. They have not been registered under the Securities Act or state securities laws. The company agreed, under a registration rights agreement with the investors, to file a resale registration statement covering the shares, the warrants and the shares underlying the warrants.

## Who is arranging the money

The press release names no underwriter or placement agent for this offering. It does not name a financial advisor, and it does not name legal counsel to the company or to the investors.

## Use of proceeds

The company intends to use the net proceeds for general corporate purposes. The release lists consumer research studies, pre-launch and launch activities for its new direct-to-consumer product, investing in or acquiring companies that are synergistic with its technologies, licensing activities related to current and future product candidates, the development of emerging technologies, and working capital.

The release says the first product incorporates the Bioneedle.

## Financial position

Research and development expense was $2.9 million in 2025 and $8.2 million in 2024, according to the company's 10-K filed March 26, 2026. The company reported a net loss of $7.6 million in 2025 and $12.3 million in 2024, and cash used in operations of $7.8 million in 2025 and $11.2 million in 2024.

The 10-Q filed August 11, 2026 reports cash and cash equivalents of $7.5 million at December 31, 2025, and $4.4 million at June 30, 2026. The filing data used here do not give a cash balance after the placement, so this story does not state one.

## Background

The 10-K describes a company that once had one lead asset, XYNGARI, a candidate for moderate-to-severe acne. In September 2025, after the Phase 3 STAR-1 results, management decided to pursue direct-to-consumer and business-to-business skincare instead.

## The risks ahead

The company still has to prove that its new skincare business can pay its own way. It lost $7.6 million in 2025 and used $7.8 million of cash in operations, and the 10-Q shows $4.4 million of cash at June 30, 2026, so this $3.4 million raise is small against that burn. The new shares and warrants add to the share count, and the extra $6.7 million depends on warrant exercise, which the release says is not assured. The company says it expects to launch its first product on August 25, 2026.
