Curanex Pharmaceuticals Inc. (Nasdaq: [CURX](https://aibio.space/companies/curanex-pharmaceuticals/)) completed a 1-for-20 reverse stock split that took effect at 12:01 a.m. Pacific Time on August 20, 2026, according to a Form 8-K filed that day. Every 20 shares of common stock outstanding became one share. The company said the split would leave about 1,568,241 shares outstanding, based on 31,364,812 shares outstanding immediately before the effective time. The number of authorized shares stays at 475,000,000, and the par value stays at $0.0001. The stock trades under the same symbol with a new CUSIP number.

The board approved the split on July 22, 2026, after shareholders holding a majority of the voting power approved a range of 1-for-10 to 1-for-50 on June 11, 2026. The board had approved the range on May 31, 2026. The company filed the certificate of amendment with the Nevada Secretary of State on August 14, 2026.

## The Nasdaq history

Nasdaq notified Curanex on November 5, 2025 that its closing bid had been below $1.00 for 30 consecutive business days, which breaches Listing Rule 5550(a)(2) for continued listing on The Nasdaq Capital Market. The company received a 180-day compliance period, to May 4, 2026. On May 5, 2026, Nasdaq told the company it had not regained compliance but was eligible for an additional 180 calendar days, to November 2, 2026. The company then told Nasdaq it would cure the deficiency with a reverse split, if necessary, during that second period.

Nasdaq's notice of September 3, 2026 says it determined that the closing bid had been at $1.00 or above for the last ten consecutive business days, from August 20 to September 2, 2026. That finding closed the matter. The 8-K filed on August 20 describes the split but predates that notice. The company's own description is that the split was made "for the purpose of regaining compliance" with Rule 5550(a)(2).

## The finances behind the listing

The listing problem came as the company was spending more cash. The 10-K filed March 30, 2026 reports a 2025 net loss of $4.2 million, against $361,506 in 2024. Research and development expense was $3.0 million for 2025. Cash used in operations was $10.5 million in 2025, compared with $555,575 in 2024.

The company reported year-end 2025 cash and cash equivalents of $5.0 million. Its quarterly report for the period to June 30, 2026, shows $2.9 million in cash and cash equivalents on that date. Set against 2025 operating cash use of $10.5 million, that balance is small. This story gives no runway estimate.

A reverse split changes the share count and the share price, but it does not add cash. The company's cash position is the same after the split as before it.

## Share count and authorized stock

The split cuts the outstanding count sharply, but the authorized count stays at 475,000,000 shares. That leaves a large gap between authorized and outstanding stock, which gives the board room to issue shares later without a new authorization. The 8-K says the company will adjust the shares underlying its options and other securities in proportion to the split. The filings do not list those securities or their numbers.

The 8-K reports no new financing. Holders who would have received a fractional share get a whole share instead, rounded up, with no cash paid. The 1,000,000 Series A Preferred shares are unchanged, and the preferred authorization stays at 25,000,000. The sources describe no new financing.

## What comes next

The company's stock trades under CURX on the post-split basis, and the Nasdaq matter was closed on September 3, 2026. The sources give no plan for further cash raises, no reason for the timing of the split beyond the Nasdaq deadline, and no date for the next financial report. The company's own statements in the 8-K describe the split as a compliance step, and the filings do not show what business steps the company will take after it.
