Curanex Pharmaceuticals Inc. (Nasdaq: [CURX](https://aibio.space/companies/curanex-pharmaceuticals/)) [closed its initial public offering on August 27, 2025](https://www.sec.gov/Archives/edgar/data/2025942/000149315225012404/form8-k.htm), selling 3,750,000 shares of common stock at $4.00 a share for gross proceeds of $15,000,000. The company put net proceeds at approximately $12,114,369 after the underwriting discount, the underwriters' fees and expenses and its estimated offering expenses. It had 27,750,000 shares outstanding after the closing. The registration statement on Form S-1 (file number 333-282686) was declared effective on August 12, 2025, and the final prospectus was filed on August 26, 2025.

Two weeks later the underwriters bought more. By a letter dated September 10, 2025, they [exercised their option in full](https://www.sec.gov/Archives/edgar/data/2025942/000149315225013167/form8-k.htm) to buy 562,500 additional shares at $4.00. That sale closed on September 12, 2025 for additional gross proceeds of $2,250,000, and left 28,312,500 shares outstanding.

## Who ran the deal

Curanex, a Nevada corporation based in Jericho, New York, [signed an underwriting agreement on August 25, 2025](https://www.sec.gov/Archives/edgar/data/2025942/000149315225012316/form8-k.htm) with Dominari Securities, LLC as representative of the underwriters named on a schedule to the agreement. It was a firm commitment offering, and the option to buy 562,500 more shares ran for 45 days. The offering 8-Ks do not list the other underwriters or name any counsel. A later 8-K, written to disclose lawsuits, names the IPO underwriters as Dominari Securities LLC, Pacific Century Securities, LLC and Revere Securities LLC.

## What the money is for

The company said it would use the net proceeds to develop its lead product candidate, Phyto-N, for ulcerative colitis, to run FDA-required good laboratory practice toxicology and pharmacokinetic studies for Phyto-N, to prepare and submit an Investigational New Drug (IND) application, and for working capital and general corporate purposes.

That list describes a drug that has not reached the IND stage. The studies and the filing have to come before any human trial, so the IPO money pays for work that precedes clinical data. The sources give no timetable for the IND and no clinical results for Phyto-N. They also give no cash balance before the offering and no net loss, so the proceeds cannot be set against the company's spending here.

## Lawsuits over the IPO

An [8-K dated October 19, 2026](https://www.sec.gov/Archives/edgar/data/2025942/000149315226047614/form8-k.htm) discloses two putative securities class actions in the Supreme Court of the State of New York, New York County. These are allegations, not findings.

The first, Morales, was filed on July 23, 2026 (Index No. 159271/2026). It names the company and its underwriters Dominari, Pacific Century and Revere, along with more than 20 other issuers, underwriters, and individual principals of the underwriters. The second, Lovett, was filed on September 14, 2026 (Index No. 655238/2026). It names the company, its former Chief Financial Officer and directors, its independent auditor, and the same three underwriters.

Both assert claims under Sections 11 and 12(a)(2) of the Securities Act, and Section 15 claims against individuals. The proposed classes cover people who bought in or traceable to the August 2025 IPO. The complaints allege misstatements and omissions in the offering documents about risks of stock-price manipulation and about deficiencies in underwriter due diligence, anti-money laundering compliance, supervision and business-communication monitoring. They seek unspecified compensatory damages, interest, costs, rescission or rescissory damages, and other relief.

The company says neither complaint asserts a fraud claim against it, that both actions are at a preliminary stage, and that it intends to defend them vigorously. Its deadline to respond to the Morales complaint has been extended to November 15, 2026, and to the Lovett complaint through December 11, 2026.

## Share count and what comes next

Shares outstanding rose from 27,750,000 at the closing to 28,312,500 once the option closed. The annual report for 2025 gives 28,364,812 shares outstanding as of March 30, 2026. The filings do not say how many shares insiders or pre-IPO holders own, so they do not show how much of the stock is held by the public.

The company's next steps are the toxicology studies and the IND, and it has to answer the two complaints. The sources give no date for the studies or the IND filing, and they do not say whether the IPO proceeds will cover the work.
