Tickers [CPIX](https://aibio.space/companies/cumberland-pharmaceuticals/)

Cumberland would receive $100 million in cash from Apotex and keep its ifetroban programs. Because Tennessee law may treat the sale as a sale of substantially all of its assets, shareholders are asked to approve it.

## The deal

Cumberland Pharmaceuticals Inc. (Nasdaq: [CPIX](https://aibio.space/companies/cumberland-pharmaceuticals/)) filed a preliminary proxy statement on May 15, 2026 asking shareholders to approve the sale of its commercial products to Apotex. The Asset Purchase Agreement is dated as of April 22, 2026. It is among Nuvo Pharmaceuticals (Ireland) DAC, which the filing calls Apotex, Apotex Inc. as guarantor, and Cumberland. Apotex would buy the assets tied to Acetadote, Caldolor, Kristalose, Sancuso, Vaprisol and Vibativ, plus Cumberland's equity interests in Talicia Holdings, Inc., which holds the rights to Talicia for H. pylori infection.

Apotex would pay $100 million in cash at closing. It has also agreed to pay up to $10 million in milestones. One is a contract with the U.S. Department of Health and Human Services for the supply of Vibativ before the second anniversary of closing. The other is net sales under that contract before the tenth anniversary.

Cumberland is a Tennessee corporation. Because the transaction may be deemed under Tennessee law to be a sale of substantially all of its property and assets, the filing asks shareholders to vote. Shareholders of record at the close of business on May 12, 2026 may vote. There are no appraisal rights. Directors and executive officers holding about 41% of the outstanding shares have signed voting and support agreements.

## Terms that bind the seller

If the agreement is terminated in certain circumstances, Cumberland must pay Apotex a $4,000,000 termination fee. The fee also applies if Apotex terminates over a Cumberland breach, if shareholders do not approve, if the board changes its recommendation, or if Cumberland ends the agreement for a superior proposal. Apotex must pay Cumberland $4,000,000 if it fails to close within three business days after closing is required and Cumberland is ready to close.

Cumberland would be barred for four years from any business in the territory that competes with the products, subject to customary carve-outs. It would also accept a four-year non-interference restriction and a three-year non-disparagement restriction. The proxy's history says Apotex's March 3, 2026 draft had proposed a five-year noncompete.

## What Cumberland keeps

Cumberland says it will keep the assets for its ifetroban product candidates and for Cumberland Emerging Technologies, its majority-owned subsidiary focused on earlier-stage development. The company says it intends to keep developing them after closing.

The annual report filed March 9, 2026 calls the ifetroban results in a study of cardiomyopathy associated with Duchenne muscular dystrophy "breakthrough." It says the company submitted a clinical study report to the FDA and began talks about the remaining development requirements. The report does not say what those requirements are or how long they will take.

The proxy says Cumberland intends to use the cash proceeds to maximize the value of its retained programs and for other working capital purposes, and that its board will keep evaluating collaborations, licenses, mergers, acquisitions or other investments, none of which is pending. Cumberland expects to close in the second or third quarter of 2026 if shareholders approve. It also says Cumberland does not intend to distribute any of the proceeds as a dividend to shareholders.

## The financial record

Financial data from the annual report show a net loss of $2.8 million for 2025, against $6.5 million for 2024. Research and development expense rose to $5.6 million from $4.8 million. Cash provided by operations was $4.9 million in 2025, compared with cash used in operations of $612,186 in 2024. Year-end 2024 cash and cash equivalents were $18.0 million.

The company held $18.0 million of cash and cash equivalents at the end of 2024, against a $100 million sale price. The proxy does not give a budget for the retained programs after closing.

## The advisor's opinion

Cumberland's financial advisor, VelocityHealth Securities, Inc., delivered a written opinion dated April 15, 2026. It said the $100 million consideration was fair and reasonable to Cumberland from a financial point of view, based on market multiples typical for acquisitions of branded pharmaceutical products. The proxy says the opinion addressed only the consideration as the proxy defines it; the milestone payments are described separately.

The proxy does not name the law firms that advised either party, and the preliminary filing leaves the meeting date, the mailing date and the record-list dates blank.
