Apotex paid $100 million in cash to close the branded-products deal after shareholders approved it. Cumberland now says it will focus on ifetroban, but its release gives no trial figures for any of the programs.

## The closing

Cumberland Pharmaceuticals Inc. (Nasdaq: [CPIX](https://aibio.space/companies/cumberland-pharmaceuticals/)) said on July 1, 2026 that it had closed its agreement with a subsidiary of Apotex Health Corp. Apotex acquired Cumberland's line of branded pharmaceuticals for $100 million in cash, funded at closing. The closing followed approval by Cumberland's shareholders, and the company said over 99% of the votes cast were in favor. The release does not give the number of votes cast or the shares outstanding, so turnout cannot be measured from it.

Chief Executive A.J. Kazimi said the deal "significantly strengthens our financial position." The release does not say what cash the company holds after closing, what it owes, or how the $100 million compares with the cost of its remaining programs.

Apotex, which the release describes as the largest Canadian-based pharmaceutical company, is headquartered in Toronto. The release says it sells generic, biosimilar and branded medicines, with offices in the United States, Mexico and India.

## The programs it kept

Cumberland kept its product candidates and its majority ownership of Cumberland Emerging Technologies Inc. It says it will focus on ifetroban, which the release describes as being studied in four programs.

In Duchenne muscular dystrophy cardiomyopathy, the release says Cumberland "announced breakthrough results" in a Phase II study. Interactions with the FDA about study results and approval requirements are underway, and the program has Orphan Drug, Rare Pediatric Disease and Fast Track designations. The release does not give the number of patients, the endpoints or the size of any effect.

In systemic sclerosis, a Phase II study evaluating safety is complete, and the release says evaluation of the data is underway, with top-line results the next milestone. In idiopathic pulmonary fibrosis, a Phase II study is still enrolling across U.S. medical centers. The release cites favorable interim safety findings, and efficacy results are the next milestone.

The cancer program is the weakest case in the release. Cumberland, working with Vanderbilt Health, announced results of a pilot study in patients with high-risk solid tumors. The release says there was a favorable trend, with fewer deaths due to metastatic disease among patients given ifetroban than among those given placebo. It also calls the study a Phase 2 trial that found the drug safe and well tolerated. A trend in a pilot study, with no figures attached, is not proof that the drug blocks metastasis, and the release does not claim that it is.

## What the annual report shows

Financial data from the annual report filed March 9, 2026 show a net loss of $2.8 million for 2025, against $6.5 million for 2024. Research and development expense rose to $5.6 million from $4.8 million. That increase came in 2025, before the sale agreement was signed. Cash provided by operations was $4.9 million in 2025, compared with cash used in operations of $612,186 in 2024. Cash and cash equivalents at the end of 2024 were $18.0 million.

The annual report says the company submitted a clinical study report on the Duchenne work to the FDA and began interactions to determine the remaining development requirements.

## Warnings in the release

The release's forward-looking statement lists market conditions, competition, and an inability of manufacturers to meet FDA standards or supply products on a timely basis among the factors that could affect results. The company describes itself in the release as advancing a late-stage pipeline, yet the same release says its clinical programs for ifetroban are Phase 2.

## What comes next

The release names the next steps for three programs. Systemic sclerosis top-line results and idiopathic pulmonary fibrosis efficacy results are the stated next milestones, and interactions with the FDA on Duchenne approval requirements continue. The release gives no dates for any of them.
