Cue Biopharma, Inc. (Nasdaq: [CUE](https://aibio.space/companies/cue-biopharma/)) said in a Form 8-K filed July 10, 2026 that it had signed a securities purchase agreement with a group of accredited investors for a private placement. The company is selling 1,418,071 shares of common stock at $33.21 per share. Certain investors are purchasing pre-funded warrants for up to 87,500 shares instead of common stock, at $33.209 per warrant. The pre-funded warrants have an exercise price of $0.001 per share, are immediately exercisable and remain exercisable until they are exercised in full. Gross proceeds are approximately $50.0 million, and the deal is expected to close on or about July 13, 2026.

Cormorant Asset Management led the placement, and new investment funds, including Columbia Threadneedle Investments, also took part. The release does not name a placement agent, underwriter, financial advisor or counsel for the transaction. It says only that the company intends to use the net proceeds to further fund clinical development and for other general corporate purposes, and it gives no net proceeds figure.

The securities have not been registered under the Securities Act of 1933. At signing, the company and the investors entered into a registration rights agreement, under which Cue agreed to file a registration statement covering the resale of the shares sold and the shares underlying the pre-funded warrants. The release gives no date for that filing.

## What the company says its lead candidate is

The release describes Cue as a clinical stage biopharmaceutical company. It says the lead asset is a novel anti-IgE antibody with a dual mechanism of action, in Phase 2 development for allergic diseases. The release also says its lead autoimmune candidate, CUE-401, "is advancing towards Phase 1."

The annual report, filed March 16, 2026, tells a different story about the portfolio. Its program list names the CUE-400, CUE-500 and CUE-100 series and does not mention an anti-IgE antibody. It calls CUE-401 a preclinical, bifunctional fusion protein. It says GLP toxicology studies were completed in both mice and non-human primates, and says the company was preparing to file an investigational new drug application for it in the second quarter of 2026. The planned Phase 1 study would enroll healthy volunteers in a two-part study of single and multiple ascending doses.

The milestone the release highlights belongs to a third party. Chief Executive Officer Shao-Lee Lin is quoted saying that data from Ascendant Health's ongoing Phase 2 CSU study in China are expected by the end of the third quarter of 2026. The release does not say what the study measures or how Cue would be involved in it.

## The annual figures behind the raise

The annual report shows revenue of $27.5 million for 2025, against $9.3 million for 2024. The net loss was $26.6 million in 2025, against $40.7 million in 2024. Research and development expense was $37.7 million in 2025, up from $36.3 million. Cash used in operations was $21.7 million in 2025, against $36.3 million in 2024, and cash and cash equivalents were $22.5 million at the end of 2024.

The business section also lists licensing deals. CUE-501, for autoimmune B cell depletion, is licensed to Boehringer Ingelheim International GmbH. CUE-101 and CUE-102 are licensed to ImmunoScape Pte. Ltd. for oncology indications. The business section gives no financial terms for either license.

## What the release leaves out

The release gives no placement fee or other cost of the deal, and it does not say how the $33.21 price compares with the stock's recent trading. It does not give a cash balance for any date after the annual report. Investors who purchase in the deal will hold restricted shares until the resale registration takes effect, which the release does not date. The milestone it highlights is a study run by Ascendant Health, not by Cue.
