CSL told the Australian Securities Exchange on Oct. 22 that a [group proceeding has been filed against it in the Supreme Court of Victoria](https://announcements.asx.com.au/asxpdf/20261022/pdf/075mkm99xb7rjc.pdf). The company said it was notified late in the afternoon of Oct. 21.

The claim is brought on behalf of people who acquired an interest in certain CSL securities [between Feb. 11, 2025 and May 11, 2026](https://announcements.asx.com.au/asxpdf/20261022/pdf/075mkm99xb7rjc.pdf), inclusive. CSL said it has complied with its disclosure obligations at all times, denies any liability and will vigorously defend the case.

## The details

The plaintiffs allege breaches of the Corporations Act 2001, the Australian Securities and Investments Commission Act 2001, the Australian Consumer Law and ASX Listing Rules. According to CSL, the claims concern its [continuous disclosure obligations](https://announcements.asx.com.au/asxpdf/20261022/pdf/075mkm99xb7rjc.pdf) and representations about its medium-term performance, expected FY26 revenue and net profit, and information about its likely FY26 performance.

CSL's one-page notice did not name the plaintiffs, their law firm or litigation funder, or the amount of damages sought.

## Context

The end date of the claim period lines up with CSL's guidance cut. On May 11, 2026, interim chief executive Gordon Naylor released a 90-day review that [revised down FY26 guidance](https://announcements.asx.com.au/asxpdf/20260511/pdf/06zfvkkjj67msw.pdf). CSL said it then expected revenue of about $15.2 billion and underlying NPATA of about $3.1 billion at constant currency. It blamed three factors: normalizing U.S. immunoglobulin channel inventory (about $300 million of revenue), a decline in the value of China's albumin market (about $200 million) and a mix of Middle East conflict, slower Hemgenix growth and iron competition (about $150 million).

The same review flagged [about $5 billion of additional pre-tax impairments](https://announcements.asx.com.au/asxpdf/20260511/pdf/06zfvkkjj67msw.pdf) across FY26 and FY27. "Our growth initiatives are working, but the financial benefits will take longer than previously anticipated to materialise," Naylor said then.

The full-year numbers in August confirmed the reset. CSL reported [total revenue of $15.8 billion, down 1%](https://announcements.asx.com.au/asxpdf/20260818/pdf/072vps0nphgdnj.pdf) at constant currency, underlying NPATA of $3.1 billion, and a reported net loss after tax of $2.6 billion attributable to shareholders after $7.1 billion of pre-tax impairments.

The board has acknowledged shareholder anger. In the chair's letter for the 2026 annual meeting, CSL wrote that [many shareholders are frustrated](https://announcements.asx.com.au/asxpdf/20260917/pdf/0745r5xv26f9y2.pdf) with recent performance and that "our research and development efforts didn't deliver."

## What it means for investors

The financial exposure is unknown until the claim is quantified. CSL has room to absorb costs: it reported [leverage of 1.8 times](https://announcements.asx.com.au/asxpdf/20260818/pdf/072vps0nphgdnj.pdf) net debt to EBITDA and $3.5 billion of operating cash flow in FY26.

The larger cost may be distraction. The case will look back at what CSL management knew about immunoglobulin inventory, China albumin pricing and the Vifor business before May 2026. A new chief executive, Deborah Waterhouse, [starts on Feb. 1, 2027](https://newsroom.csl.com/2026-10-21-CSL-appoints-Deborah-Waterhouse-as-CEO-Managing-Director), and the litigation will run alongside her first years in the job.

## What to watch

CSL holds its [annual general meeting on Oct. 27, 2026](https://announcements.asx.com.au/asxpdf/20260917/pdf/0745r5xv26f9y2.pdf) in Melbourne, where shareholders can question the board. The company has not said when it expects the first court hearing.
