## The second compliance period

Cosmos Health Inc. (Nasdaq: [COSM](https://aibio.space/companies/cosmos-health/)) said in a press release dated May 6, 2025 that Nasdaq had notified it that it is eligible for an additional 180 calendar days, through November 3, 2025, to regain compliance with the minimum bid price requirement. The company furnished the release with an 8-K.

The problem began on November 6, 2024, when Nasdaq told the company it was out of compliance with the $1.00 minimum bid price requirement. The closing bid price of its common stock had stayed below $1.00 for 30 consecutive business days. The initial 180-day compliance period expired on May 5, 2025 without a cure.

Nasdaq granted the second period because the company continues to meet all other applicable listing requirements for the Nasdaq Capital Market, other than the bid price rule. The company has indicated its intention to regain compliance within the second period. If the closing bid price meets or exceeds $1.00 for at least 10 consecutive business days at any time in that window, Nasdaq will provide written confirmation of compliance and close the matter.

Greg Siokas, the CEO, said: "We remain focused on executing our strategic priorities and delivering long-term value for our shareholders." The release offers no stated plan to lift the price. It does not mention a reverse stock split, and it gives no share price, cash balance, loss or revenue figure.

## A diversified healthcare group

The company says it is a diversified, vertically integrated global healthcare group, incorporated in 2009 in Nevada. It owns proprietary pharmaceutical and nutraceutical brands including Sky Premium Life, Mediterranation, bio-bebe, C-Sept and C-Scrub. Through its subsidiary Cana Laboratories S.A., licensed under European Good Manufacturing Practices and certified by the European Medicines Agency, it manufactures pharmaceuticals, food supplements, cosmetics, biocides and medical devices within the European Union.

It also distributes branded generics, over-the-counter medicines and parapharmaceuticals to retail pharmacies and wholesale distributors through subsidiaries in Greece and the UK. It has offices and distribution centers in Thessaloniki and Athens, Greece, and in Harlow, UK. It says it is expanding throughout Europe, Asia and North America.

The research side is thinner. The release says the company has established R&D partnerships targeting obesity, diabetes and cancer, enhanced by artificial intelligence drug repurposing technologies. It has also entered telehealth through the acquisition of ZipDoctor, Inc., based in Texas.

## What the annual report says about the strategy

The 10-K filed April 15, 2025 lists the company's lines of business as generic medicines, nutraceuticals, biocides, medical devices, novel oncology drugs, drug repurposing and telehealth. Its stated strategy is to become a global healthcare company through a lean, vertically integrated operating model, expand its own branded nutraceutical and pharmaceutical products, and grow its customer base. It also describes enhancing manufacturing capacity and building a multinational network of wholesalers, distributors and pharmacies.

For 2024, the 10-K says the company continued to execute its growth strategy, citing strong performance of key proprietary brands such as Sky Premium Life, Mediterranation and C-Sept and C-Scrub, with launches into new fast growing geographical regions. It says it is focusing on generic pharmaceuticals and building a pipeline in that area.

The 10-K's business description supports its market case with third-party studies. It cites a figure of $424.98 billion for the global generic drugs market in 2024 and a projection of $874.63 billion by 2033. It cites $591.15 billion for nutraceuticals in 2024 and $163.13 billion for obesity and weight management. These figures describe whole industries. They say nothing about Cosmos Health's own sales, margins or share of any market.

## What is missing

The press release gives no revenue, net loss or cash figure. It does not show how much the company earns from any brand, what the company spent on research, or how it is paying for its expansion. The company's own forward-looking statement lists its ability to raise sufficient financing to implement its business plan among the risks that could change results.
