Cosmos Health Inc. said its board of directors has authorized a share repurchase program of up to $5 million of its common stock. The announcement is dated June 30, 2026, and the company filed it with the SEC on Form 8-K. The program expires December 31, 2026, and the company may renew it at its sole discretion.

## Terms of the program

Cosmos Health may buy shares in the open market, in privately negotiated transactions, or through other permitted means. Purchases are to follow SEC Rules 10b5-1 and 10b-18 and other applicable restrictions. The timing and total amount of repurchases will depend on market conditions, corporate and regulatory requirements, prevailing stock prices and other considerations.

Chief Executive Greg Siokas said in the release: "we believe our shares are trading at levels that do not reflect the strength of our operating momentum, asset base, and future growth trajectory." He said a program of this size represents almost half of the company's market capitalization as of June 29, 2026. He also pointed to record revenue, improving margins and expansion into the United States and into new categories such as animal healthcare. He said the program reflects confidence in the company's operating fundamentals and growth prospects, and that repurchasing shares at current levels is an attractive opportunity to enhance shareholder value. He tied the program to what he called the company's multi-layered growth strategy.

## About the company

Cosmos Health Inc. was incorporated in 2009 in Nevada and describes itself as a diversified, vertically integrated global healthcare group. It owns proprietary pharmaceutical and nutraceutical brands, including Sky Premium Life, Mediterranation, bio-bebe, C-Sept and C-Scrub. Through its subsidiary Cana Laboratories S.A., it manufactures pharmaceuticals, food supplements, cosmetics, biocides and medical devices within the European Union.

The company also distributes branded generics and over-the-counter medications to retail pharmacies and wholesale distributors through subsidiaries in Greece and the UK. The release says it has research and development partnerships targeting obesity, diabetes and cancer, supported by artificial intelligence drug repurposing technologies. It focuses on novel patented nutraceuticals, specialized root extracts, proprietary complex generics and innovative over-the-counter products. The company also acquired Zip Doctor, Inc., a telehealth business based in Texas.

## Financial position

For fiscal 2025, the company reported revenue of $65.3 million, up from $54.4 million in fiscal 2024. Its net loss was $19.1 million, compared with $16.2 million in 2024. Cash used in operations was $8.4 million, compared with $7.7 million. The company's 10-K for 2025 was filed April 15, 2026.

The 10-K describes the company's main strategy as becoming a global healthcare company through a lean, efficient and vertically integrated operating model, while expanding its own branded nutraceutical and pharmaceutical products.

## What the buyback leaves out

The release does not say how much of the program has been used or how it will be funded. It runs until December 31, 2026 unless the company renews it, and the company has no obligation to buy any shares. The chief executive's own comparison, that the program is almost half the company's market capitalization, shows how small the equity value is next to a net loss of $19.1 million in 2025. Cash used in operations was $8.4 million, so any cash spent on buybacks is not available for the business. The release's own list of risk factors includes the company's ability to raise sufficient financing to implement its business plan, the effectiveness of its digital asset strategies, and the outcome of investigations, inquiries, claims and litigation. The chief executive says the shares are undervalued and points to growth in the United States and new categories, but that is his view, not a result. The company still has to show that revenue growth can turn into profit. The common stock trades on Nasdaq under the symbol COSM.
