## The program

Corbus Pharmaceuticals Holdings, Inc. (Nasdaq: [CRBP](https://aibio.space/companies/corbus-pharmaceuticals/)) filed a prospectus supplement dated August 7, 2026 for the sale of up to $127,500,000 of common stock. The shares are offered under a shelf registration on Form S-3, registration number 333-277888, through an Open Market Sale Agreement with Jefferies LLC as sales agent. Jefferies may sell by any method that counts as an at-the-market offering, after Corbus sends a placement notice.

Jefferies is not required to sell any particular number or dollar amount of shares. It will use commercially reasonable efforts consistent with its normal trading practices, and no funds will be held in escrow or trust. Jefferies earns a fixed commission of 3% of the gross sales price of each share sold. The filing says Jefferies will be deemed an underwriter under the Securities Act. It names Jefferies LLC as the only agent and names no law firm for either side.

## The dilution

The filing gives net tangible book value of about $98.5 million, or $5.27 a share, as of June 30, 2026. It says 738,707 shares were sold under the sale agreement after June 30, 2026, and it puts pro forma net tangible book value at about $105.1 million, or $5.42 a share.

Using an assumed price of $9.40 a share, the last reported sales price on The Nasdaq Capital Market on August 4, 2026, the filing puts pro forma as adjusted net tangible book value at about $228.7 million, or $6.94 a share. That is an immediate increase of $1.52 a share for existing holders and an immediate dilution of $2.46 a share to new investors. The filing bases the post-offering count on 18,671,498 shares outstanding on June 30, 2026, after the 738,707 shares sold since. That excludes 2,037,010 shares issuable on outstanding options, at a weighted average exercise price of $27.81 a share, and 634,006 shares issuable on vesting of restricted stock units.

## What the money is for

The filing says net proceeds will fund development of CRB-701, CRB-913 and other pre-clinical compounds, along with general corporate purposes. Those purposes may include acquisitions, working capital, reducing indebtedness and capital expenditures. The risk factors say management has broad discretion over the proceeds, which may be used for purposes that do not increase operating results.

CRB-701 is a Nectin-4 antibody drug conjugate in a Phase 1/2 study, licensed in February 2023 from CSPC Megalith Biopharmaceutical Co. Ltd. The company says the FDA granted it fast track designation for relapsed or refractory metastatic cervical cancer in December 2024, and for recurrent or metastatic head and neck squamous cell carcinoma in September 2025. CRB-913 is a peripherally restricted CB1 receptor inverse agonist for obesity.

## The company's finances

Financial data from the annual report filed March 9, 2026 show a net loss of $78.5 million for 2025, against $40.2 million for 2024. Research and development expense rose to $70.1 million from $32.2 million. Cash used in operations was $64.5 million in 2025, up from $41.8 million in 2024. Year-end 2024 cash and cash equivalents were $17.2 million, with $131.9 million of short-term investments.

Year-end 2025 cash was $28.5 million and short-term investments were $134.8 million, according to the quarterly report filed in early August 2026. At June 30, 2026, cash was $23.4 million and short-term investments were $94.6 million. Both lines were lower in mid-2026 than at the end of 2025. The prospectus supplement does not say how long the company's cash will last, and it gives no cash-needs forecast.

## Terms the filing leaves open

The filing states no minimum price for sales. The amount raised therefore depends on where the stock trades while Jefferies sells, and the filing does not say how long the program will run. Beyond the 738,707 shares sold after June 30, 2026, it does not say how much has been sold under it.
