Context Therapeutics Inc. (Nasdaq: [CNTX](https://aibio.space/companies/context-therapeutics/)) said in its [10-Q filed August 5, 2026](https://www.sec.gov/Archives/edgar/data/1842952/000162828026053347/cntx-20260630.htm) that a Delaware class action challenging its director terms has been closed. The Vladimir Gusinsky Revocable Trust filed a stockholder class action complaint on February 4, 2026 in the Court of Chancery of the State of Delaware against the company and its directors.

The defendants are Context and its directors. The 10-Q does not name the directors or give a case number. Context's board, according to its [10-K signed March 23, 2026](https://www.sec.gov/Archives/edgar/data/1842952/000162828026020498/cntx-20251231.htm), was Martin Lehr, Andy Pasternak, Philip Kantoff, Karen Smith, Jennifer Evans Stacey, Luke Walker and Linda West. No filing names the individual directors sued. The claims described here are allegations.

## The case

The complaint asserted two points. First, it said Article V, Section 2 of Context's Amended and Restated Certificate of Incorporation, as amended, gives directors a full three-year term, in violation of Section 211(b) of the General Corporation Law of the State of Delaware. Second, it said Article VI, Section 1 allows directors to be removed only for cause, in violation of Section 141(k). The 10-Q describes no claim for damages.

## Defendants

Context Therapeutics Inc. and its directors. The 8-Ks describe the action as brought against the company and its directors. According to the 10-K, Lehr is chief executive officer and a director, and Pasternak is chairman of the board. Kantoff, Smith, Stacey, Walker and West are listed as directors. The company's chief financial officer, Jennifer Minai-Azary, also signed the 10-K, but no filing says she is a defendant.

## Where it stands

On February 24, 2026 the parties filed a stipulation and proposed consent judgment. An [8-K](https://www.sec.gov/Archives/edgar/data/1842952/000162828026012813/cntx-20260224.htm) said the parties asked the court to declare both provisions invalid and unenforceable. The stipulation also provided for dismissal with prejudice and for the 2026 annual meeting to be held on June 24, 2026.

The court approved the stipulated judgment on March 11, 2026. Both provisions were determined to be invalid and unenforceable. Context filed a Certificate of Correction with the Delaware Secretary of State the same day, and the court dismissed the action with prejudice as to the plaintiff. It kept jurisdiction over any mootness fee application, according to an [8-K](https://www.sec.gov/Archives/edgar/data/1842952/000162828026017691/cntx-20260311.htm).

On April 30, 2026, Context signed a letter agreement under which a third party service provider would pay the fee on its behalf. The court entered a stipulated order closing the case, which requires $850,000 in fees and expenses to plaintiff's counsel. The court was not asked to review, and did not pass judgment on, whether the fee was owed or its amount. The provider paid it in full on May 1, 2026, per an [8-K](https://www.sec.gov/Archives/edgar/data/1842952/000162828026029323/cntx-20260430.htm). That 8-K said the case would be closed once the court was told a quorum was reached at the June 24, 2026 annual meeting. The 10-Q rounds the figure to $0.9 million and says the action has since been closed.

## Why it matters to shareholders

The consent judgment changes how Context's board is elected. The terms of the current directors were to end at the 2026 annual meeting, and directors can now be removed with or without cause by holders of a majority of the shares entitled to vote at a director election. At the June 24, 2026 meeting, stockholders [elected all seven nominees](https://www.sec.gov/Archives/edgar/data/1842952/000162828026045744/cntx-20260624.htm) to serve until the 2027 annual meeting. Shares present were 72,830,990, about 79.27% of those outstanding on the record date.

On cost, the company did not itself pay the $850,000. The filings do not name the provider or say whether Context must reimburse it. The 10-Q reports no appeal or related claim. Context says that, apart from this action, it is not presently a party to any material legal proceedings.
