## The amendment

CONMED Corporation signed a First Omnibus Amendment and Increased Facility Activation Notice dated as of May 27, 2026, according to Exhibit 10.1 to a Form 8-K filed on June 1, 2026. The document amends the Eighth Amended and Restated Credit Agreement dated as of June 10, 2025 among CONMED Corporation, a Delaware corporation, as parent borrower, the foreign subsidiary borrowers, the lenders and JPMorgan Chase Bank, N.A., as administrative agent. It also amends the Amended and Restated Guarantee and Collateral Agreement. Linvatec Nederland B.V. signs as a foreign subsidiary borrower.

The parent borrower asked for commitments for incremental term loans in the form of delayed draw term "a" loans in an aggregate principal amount equal to $450,000,000. The amendment calls those the Term A-2 Commitments and the resulting loans the Term A-2 Loans. The request was made under Section 2.28 of the credit agreement, which covers incremental facilities. Each Term A-2 lender listed on Schedule 1 commits to provide an amount not to exceed the figure next to its name. The terms of the facility are set out in the conformed credit agreement attached as Exhibit A and in a fee letter dated as of May 1, 2026 between the parent borrower and the administrative agent.

## Pricing and conditions

For the Term A-2 Loans, the applicable margin is 1.75% a year on term benchmark loans and 0.75% on alternate base rate loans until the adjustment date for the fiscal quarter ending September 30, 2026. After that date, the margin follows the credit agreement's pricing grid.

The amendment takes effect only when conditions are met. The administrative agent must receive the signed amendment, legal opinions, officer certificates and a solvency certificate from the chief financial officer of the parent borrower. No default may exist, representations must be true in all material respects, and fees and invoiced expenses must be paid. The legal opinions come from Skadden Arps, Slate, Meagher & Flom LLP, as counsel to the parent borrower and its subsidiaries, from NautaDutilh N.V., as Dutch counsel to certain subsidiaries, and from Hollie Foust, as general counsel of the parent borrower.

## Lenders and banks

The signature pages name eight Term A-2 lenders. JPMorgan Chase Bank, N.A. signs as administrative agent, an existing lender and a Term A-2 lender. PNC Bank, NA, Bank of America, N.A., Wells Fargo Bank, National Association, DNB Capital LLC, Capital One, National Association and Hancock Whitney each sign as an existing lender and a Term A-2 lender. Goldman Sachs Bank USA signs as a Term A-2 lender only.

For the First Amendment, the conformed agreement names JPMorgan Chase Bank, N.A., BofA Securities Inc., Wells Fargo Securities, LLC and PNC Capital Markets LLC, together with Goldman Sachs Bank USA, as joint lead arrangers and joint bookrunners. Bank of America, N.A., Wells Fargo Bank, National Association, PNC Bank, National Association and Goldman Sachs Bank USA are co-syndication agents. DNB Bank ASA, New York Branch and Capital One, National Association are co-documentation agents.

Johonna Pelletier, vice president of tax and treasurer, and Patrick Beyer, president and chief executive officer, sign for CONMED. Guarantors that sign include Aspen Laboratories, Inc., SurgiQuest, Inc., Linvatec Corporation, Viking Systems, Inc., Buffalo Filter LLC, In2Bones Global, Inc., In2Bones USA, LLC and BioRez, Inc. The loan parties reaffirm their guarantees and security interests, and confirm that the liens continue in full force, including for the Term A-2 Loans once borrowed.

## The company's finances

The 10-K filed February 17, 2026 reports revenue of $1.37 billion for 2025, against $1.31 billion for 2024. Net income was $47.1 million in 2025, against $132.4 million in 2024. Research and development expense was $55.9 million, against $54.4 million. Cash provided by operations was $170.7 million, against $167.0 million.

Net income fell by more than half while revenue grew, and the amendment adds $450,000,000 of delayed draw commitments to a secured credit agreement that already carries guarantees and liens from the company's subsidiaries.
