## What was settled

Collegium Pharmaceutical, Inc. (Nasdaq: [COLL](https://aibio.space/companies/collegium-pharmaceutical/)) said in a Form 8-K dated October 19, 2026 that it had settled with Grünenthal GmbH on October 15, 2026. The settlement resolves all disputes between the two companies, including a patent suit Grünenthal filed in February 2026 in the United States District Court for the District of New Jersey. The complaint named Collegium as the defendant and alleged patent infringement tied to the launch of an authorized generic of Nucynta ER.

Collegium will pay Grünenthal $17,000,000. The parties ended the License Agreement (U.S.) dated January 13, 2015 in its entirety, and they ended the Consent Agreement dated January 30, 2020 for the Territory, a defined term in that agreement. The terminations took effect on October 15, 2026, after the payment. The rest of the Consent Agreement stays in force.

The settlement also has Grünenthal assign certain patents related to the Nucynta products to Collegium and file a motion to dismiss the suit. The 8-K does not identify those patents, their expiry dates or whether any of them covers the authorized generic. The filing also does not say when the court will rule on the motion.

## Royalties ended, cost not given

The 8-K says all royalty obligations under the license have been fully and finally discharged, and that no further royalties will be due. It does not give the royalty rate, the royalties Collegium paid in earlier years, or the value of the license that has now ended. It also does not say how the $17,000,000 payment will be recorded in the company's accounts.

Collegium assumed the license through a Consent Agreement with Grünenthal and Assertio Therapeutics, Inc. as part of its 2020 acquisition of Nucynta ER and Nucynta IR. The 8-K describes the license and the agreement as previously disclosed and refers readers to copies filed with a quarterly report in May 2020. It does not restate their terms.

## The Nucynta franchise under generic pressure

The annual report filed in February 2026 lists Nucynta ER and Nucynta IR among Collegium's marketed products, alongside JORNAY PM, Belbuca, Xtampza ER and Symproic. It says Collegium granted Hikma Pharmaceuticals USA Inc. rights to an authorized generic version of the Nucynta products in the United States.

The annual report also describes competition that is already in the market. In January 2026, a third-party generic equivalent of Nucynta IR was approved under an abbreviated new drug application, with pediatric use carved out of its label. Hikma launched a generic version of Nucynta IR on February 25, 2026. Hikma was expected to launch a generic version of Nucynta ER in the first quarter of 2026. The annual report lists December 27, 2025 as the end of pediatric exclusivity for Nucynta ER and January 3, 2027 for Nucynta IR.

The 8-K does not say who launched the authorized generic named in the suit, and it does not mention Hikma.

## Financial base

Financial data from the company's filings show revenue of $780.6 million for 2025, up from $631.4 million for 2024. Net income fell to $62.9 million from $69.2 million. Cash provided by operations rose to $329.3 million from $205.0 million. Revenue grew while net income declined, and the cost of the Nucynta settlement comes on top of a franchise already losing exclusivity.

The same data show cash and cash equivalents of $129.5 million at June 30, 2026, with no short-term investments at that date. The 8-K does not discuss the company's cash position.

## What comes next

The 8-K does not say when the court will act on Grünenthal's motion to dismiss. The annual report lists January 3, 2027 as the end of pediatric exclusivity for Nucynta IR. The Consent Agreement stays in force outside the Territory, and the 8-K does not describe which obligations that leaves in place.
