## The deficiency and the cure

Coherus Oncology, Inc. said in a Form 8-K dated September 5, 2025 and filed September 8, 2025 that it had regained compliance with the minimum bid price rule of The Nasdaq Global Market. The company's common stock trades under the symbol CHRS.

The matter began on June 30, 2025, when Nasdaq's Listing Qualifications Department sent a deficiency notice. The notice said the bid price had closed below $1.00 per share for the last 30 consecutive business days. The company then had 180 calendar days, or until December 29, 2025, to regain compliance.

On September 5, 2025, Nasdaq's staff wrote to the company that it had determined the closing price was $1.00 or greater for the required period. Nasdaq said the company had regained compliance with Listing Rule 5550(a)(2) and that the matter was closed. The 8-K says the company is now in full compliance with all continued listing standards of the Nasdaq Global Market.

The 8-K is a single paragraph under Item 8.01, Other Events, signed by Dennis M. Lanfear. The cover page gives the registrant's Delaware incorporation, its Commission File Number 001-36721 and its offices at 333 Twin Dolphin Drive in Redwood City, California. Its common stock has a par value of $0.0001 per share.

## What the 8-K leaves out

The 8-K gives no closing prices and no trading volumes. It does not say what the company did to lift the share price, and it does not mention a reverse stock split. The filing does not describe the company's cash position, its net loss or any financing. It does not mention the UDENYCA divestiture or any debt.

The 8-K does not say whether the company expects the stock to stay above $1.00 without further action.

## The business behind the listing

The company's annual report, filed on March 17, 2025, describes Coherus as a commercial-stage biopharmaceutical company focused on immunotherapies for cancer. Its commercial portfolio then included UDENYCA (pegfilgrastim-cbqv), a biosimilar to Neulasta, and LOQTORZI (toripalimab-tpzi), a PD-1 inhibitor. The FDA approved LOQTORZI on October 27, 2023 for certain nasopharyngeal carcinoma indications, and the company launched it in the United States on January 2, 2024. The company says LOQTORZI is the only immune checkpoint inhibitor the FDA has approved for those indications.

The 10-K describes an agreement dated December 2, 2024 to sell the UDENYCA franchise to Intas Pharmaceuticals Ltd. for $483.4 million in cash, including $118.4 million of product inventory. It also describes two earnout payments of $37.5 million each, tied to net sales thresholds. At the time of the report, the company expected to close that sale in late in the first quarter or early in the second quarter of 2025. The 8-K does not mention that sale.

The 10-K also says the company expected to use the sale proceeds to repay its $230.0 million in principal of 1.5% Convertible Senior Subordinated Notes due 2026. It expected to pay $47.7 million to buy out royalty rights on UDENYCA net sales held by Coduet Royalty Holdings, LLC. Those are the company's plans as of March, not outcomes.

The 10-K describes the company's pipeline as earlier stage clinical and preclinical programs. Its lead clinical candidate, casdozokitug, is in three ongoing studies, and a second candidate, CHS-114, is in Phase 1 studies. The company says it plans to develop its candidates alongside LOQTORZI.

## What the notice does not show

The listing notice closes a bid price problem, but the company's stock traded below $1.00 for the whole 30-business-day window that triggered the notice. Regaining compliance under Listing Rule 5550(a)(2) addresses the listing requirement only. It does not show the company's financial strength.

The company's plans in the 10-K depend on a sale and debt repayment that the 8-K does not discuss. The 8-K does not say whether either has closed, or what the company's cash position is after them.
