## The notice

Cognition Therapeutics, Inc. said in a Form 8-K filed on August 26, 2025 that it had received a letter that day from The Nasdaq Stock Market LLC. The letter said the company had regained compliance with Nasdaq's $1.00 minimum bid price requirement under Listing Rule 5450(a)(1), and was therefore in compliance with the exchange's listing requirements. The common stock trades on The Nasdaq Stock Market LLC under the symbol CGTX.

The notice closes a process that began with a deficiency letter received on September 12, 2024, which said the bid price had closed below $1.00 for the prior 30 consecutive trading days. The 8-K says the stock had closed above $1.00 per share for more than ten consecutive trading days as of August 25, 2025.

The 8-K is a single paragraph under Item 8.01, Other Events. It gives no closing prices, no trading volumes and no account of what the company did to lift the share price. It does not mention a reverse stock split, a share sale or any other financing.

## The lead drug and its trials

The business section of the company's annual report, filed earlier in 2025, describes Cognition as a clinical-stage biopharmaceutical company developing small molecules for age-related degenerative diseases and for disorders of the central nervous system and retina. Its lead candidate, zervimesine, also known as CT1812, is an orally delivered small molecule. The company describes it as designed to protect synapses by preventing oligomers of pathogenic proteins, including beta-amyloid and alpha-synuclein, from binding to neurons, and says it has the potential to slow synapse loss and cognitive decline in Alzheimer's disease. Those are the company's claims. The business section does not report the outcome of any efficacy measure.

The Phase 2 COG0201 (SHINE) study enrolled 153 adults with mild-to-moderate Alzheimer's disease. Top-line results were reported in 2024 and presented in July 2024 at the Alzheimer's Association International Conference. The Phase 2 COG1201 (SHIMMER) study enrolled 130 adults with mild-to-moderate dementia with Lewy bodies, with top-line results presented in December 2024 and again in January 2025. The report gives the dates of these presentations but no result figures for either study. It repeats the company's description of zervimesine as generally well tolerated and notes its Fast Track designation from the FDA for Alzheimer's disease.

The third dementia study, COG0203 (START), is enrolling people with mild cognitive impairment and early-stage Alzheimer's disease. As of October 15, 2024, about 477 people had received zervimesine in the company's trials.

The dry age-related macular degeneration study, COG2201 (MAGNIFY), began in 2023 and had 100 participants enrolled when it was concluded. In February 2025 the company voluntarily ended it and began wind-down procedures at investigator sites. The company describes the dementia results that led to the decision as favorable, but the report gives no figures for them. It says the study was not ended for safety reasons. Results are being compiled by the contract research organization.

## Funding and what comes next

Trial money has come mainly from grants. The report says the company's trials have drawn about $171 million in cumulative grants, awarded primarily by the National Institute of Aging, a division of the National Institutes of Health. The START and SHINE studies are supported by grants totaling $110 million, and the SHIMMER study by a grant of about $30 million. The report cites the need to preserve capital as one reason for focusing on the dementia programs.

The business section does not give the company's cash balance, its net loss or any going-concern language, so the grants cannot be set against the cash the company holds. The 8-K does not supply that figure either.

The report said the company intended to report the MAGNIFY change in lesion size, with safety and tolerability data, in the second quarter of 2025. The 8-K does not mention those results, and this story does not report them. START enrollment is ongoing, and the report gives no readout date for that study.
