Tickers [COGT](https://aibio.space/companies/cogent-biosciences/)

Cogent drew $50 million of a term loan facility of up to $400 million from SLR credit funds on June 11, 2025. Most of the rest depends on pivotal trial results and a launch the company expects in 2026, and the debt falls due in 2030.

Cogent Biosciences, Inc. (Nasdaq: [COGT](https://aibio.space/companies/cogent-biosciences/)) signed a loan and security agreement on June 11, 2025 for a term loan facility of up to $400.0 million and drew the first tranche of $50.0 million at closing, according to a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1622229/000119312525138813/d21181d8k.htm) filed the same day. The company says the proceeds can go to working capital and general business purposes. It calls the facility non-dilutive. The 8-K describes no warrants and no share issuance tied to the loan.

## Who is lending

Cogent is the borrower, and its subsidiaries are guarantors. SLR Investment Corp. acts as administrative agent and collateral agent for itself and the lenders. The press release describes the lenders as credit funds managed by SLR Capital Partners, LLC, and says Leerink Partners served as the exclusive financial advisor to Cogent on the term loan. The 8-K does not name a placement agent or underwriter, and it does not name legal counsel for either side.

All obligations are secured on a first-priority basis, subject to certain exceptions, by substantially all of the assets of Cogent and its guarantors. The agreement also has customary covenants and events of default that can make the loans due immediately.

## Tranches tied to trial results

Only the first tranche was funded at closing. Each later tranche depends on a milestone:

- A second tranche of $25.0 million, if Cogent announces positive data from its phase 2 SUMMIT trial.
- A third tranche of $75.0 million, if Cogent announces positive data from its phase 3 PEAK trial.
- A fourth tranche of $50.0 million, if Cogent reaches at least $85.0 million in net product revenue on a trailing six-month basis by June 30, 2027.
- A fifth tranche of $200.0 million, only with the mutual agreement of Cogent and SLR.

The press release says $100 million is available during 2025 at Cogent's discretion, subject to top-line readouts from SUMMIT and PEAK. It also expects bezuclastinib, its lead candidate, to launch in 2026. The fourth tranche therefore depends on sales of a drug that has not launched yet. Neither the 8-K nor the release reports any trial results. They give only expected timing: SUMMIT in July, APEX in the second half of 2025, and PEAK before the end of 2025.

The loan costs 4.75% a year plus the greater of one-month term SOFR and 4.15%. It matures on June 1, 2030. Cogent pays interest only each month until June 1, 2028, and can defer principal to June 1, 2029 if certain conditions are met. Cogent may prepay at any time, subject to a premium ranging from 3.0% to 1.0%. Any amount drawn must be repaid in full by the maturity date, whether or not the trials succeed.

## The cash position

Cogent's annual report for 2024, filed February 25, 2025, shows cash, cash equivalents and marketable securities of $287.1 million as of December 31, 2024. The company said that would fund operations through the SUMMIT, PEAK and APEX readouts and into late 2026. In 2024, operating activities used $207.8 million of cash, mainly because of a net loss of $255.9 million. The net loss for 2023 was $192.4 million. The annual report says Cogent has incurred net losses in every year since its inception.

## What the company says

"This strategic financing with SLR provides substantial, non-dilutive capital at very attractive financial terms," said Andrew Robbins, President and Chief Executive Officer. He said the funding lets Cogent accelerate launch planning for bezuclastinib while it waits for the three trial results.

Anthony Storino, Partner and Head of Life Science Finance at SLR Capital Partners, said the investment reflects the firm's strategy of supporting biotech companies through late-stage development and commercial execution.

Bezuclastinib is designed to inhibit the KIT D816V mutation, which drives systemic mastocytosis, and other KIT exon 17 mutations found in advanced gastrointestinal stromal tumors. Cogent also runs a phase 1 study of an FGFR2 inhibitor it discovered internally. The filings give no data on that program.
