## The split

Clearmind Medicine Inc. (Nasdaq: [CMND](https://aibio.space/companies/clearmind-medicine/)), a Vancouver-based clinical-stage biotech company, said on May 19, 2026 that it will conduct a reverse share split of its issued and outstanding common shares, no par value, at a ratio of 1-for-10. The split takes effect on May 21, 2026. A reverse split lowers the number of shares and raises the price per share in proportion. It adds no cash to the company and does not change what the company owns.

The company says its board of directors approved the split on March 18, 2026, in accordance with its articles of association.

## What changes for shareholders

Clearmind says the split will adjust its issued and outstanding common shares from 10,190,337 to approximately 1,019,033, subject to any further adjustments based on the treatment of fractional shares. No fractional shares will be issued. All fractional shares will be rounded up to the nearest whole common share. The authorized share capital will remain unchanged, which the company says is unlimited as of the date of the release.

A proportionate adjustment will also be made to the per share exercise price and to the number of common shares issuable on exercise of all outstanding options and warrants entitling holders to buy common shares. The release gives no pre-split or expected post-split share price.

## The Nasdaq reason

The company says the reverse split is being carried out as part of its plan to regain compliance with the Nasdaq Minimum Bid Price Rule. The release does not give the date of the Nasdaq notice, the price that triggered it or the deadline for compliance. Its forward-looking language does refer to a Panel. There can be no assurance, the company says, that the Panel will determine to continue to allow the listing of the company's securities on the Nasdaq Capital Market, or that the company will consummate the reverse split. The release does not say when the Panel will decide.

## The business behind the listing

Clearmind describes itself as a clinical-stage company focused on the discovery and development of novel, non-hallucinogenic, second generation, neuroplastogen-derived therapeutics for major under-treated health problems, including alcohol use disorder. Its stated objective is to research and develop psychedelic-based compounds and attempt to commercialize them as regulated medicines, foods or supplements. The company says its intellectual property portfolio consists of nineteen patent families, including 31 granted patents.

The company's annual report on Form 20-F for the fiscal year ended October 31, 2025, filed in January 2026, sets out the financial condition behind the listing problem. In its summary of risk factors the company says it has incurred losses since its inception, expects significant losses for the foreseeable future and may never achieve or maintain profitability. It says its financial statements contain an explanatory paragraph regarding substantial doubt about its ability to continue as a going concern. It says it has never generated any revenue from product sales, and that it expects to need to raise substantial additional funding, which may not be available on acceptable terms, or at all.

The same summary lists product risks. The company says it has not commercialized any products and may not receive, or may be delayed in receiving, the necessary approvals for MEAI or future products. It says its current candidates contain psychedelic substances and may be subject to controlled substance laws and regulations, and that its candidates contain potentially controlled substances whose use may generate public controversy. It also says the results of early-stage clinical trials and preclinical studies may not predict future results, and that research and development of drugs targeting the central nervous system is particularly difficult.

A reverse split can restore a share price that meets a listing rule, but it does not address any of these risks. The release does not report cash, a financing or a clinical milestone.
