## The purchase

Clearmind Medicine Inc. said in a Form 6-K dated September 4, 2026 that it had signed a definitive agreement to acquire a 51% stake in Charging Robotics. The release is datelined Vancouver, Canada, and describes Clearmind as a clinical-stage biotechnology company focused on non-hallucinogenic, psychedelic-derived therapeutics. The company's shares trade on Nasdaq under the symbol CMND.

The aggregate purchase price for the majority stake is $2.5 million. The release also says Clearmind will make a loan of $1.5 million to Charging Robotics as a condition of closing. That loan carries interest at 4% per annum. The release expects the closing during the week of September 7, 2026, subject to closing conditions.

## The loan and its extension

Under the terms, the loan and accrued interest are due on the third anniversary of closing unless repaid earlier. The repayment date extends automatically if, on that date, Charging Robotics has not generated positive cash flow from operating and financing activities, together with available financing sources, enough to repay the loan. The test uses the target's most recently completed financial statements prepared under IFRS. Under an extension, the principal keeps accruing interest at 4.0% per annum, and the date moves to the first day the target meets the test.

That structure means Clearmind's $1.5 million could stay outstanding past the initial three-year date. The release does not say what Charging Robotics's cash flow or financing position is today, and it gives no balance sheet figures for the target.

## The target

The release says Charging Robotics develops wireless charging systems for electric vehicles in automated parking facilities, autonomous mobile platforms and robotaxi operations. It describes the system as delivering continuous charging of up to 10 kW, with vehicle communication and power management. The release says the systems integrate into robotic parking platforms and require no manual connection. These are the company's own descriptions, and the release gives no independent data on performance, customers or revenue.

## The buyer's own risks

Clearmind's most recent annual report on Form 20-F says its financial statements contain a going concern paragraph that raises substantial doubt about its ability to continue. The report says the company has never generated revenue from product sales and expects to need substantial additional funding, which may not be available on acceptable terms. It also says results from early-stage clinical and preclinical studies may not predict future results.

The report describes its drug candidates as subject to controlled substance laws and regulations, and it describes development of central nervous system drugs as particularly difficult. The 6-K's own forward-looking statements refer to the same 20-F for the risks of the business, and they note that the acquisition's timing and completion depend on closing conditions.

## What the filing leaves out

The release names no financial adviser, placement agent or law firm for either party. It does not say how the company will fund the $2.5 million purchase price, and it does not say whether the purchase price is paid in cash at closing or in installments. The release also does not say how the 51% stake was valued, what Charging Robotics owns, or how the remaining shares are held. The release describes Clearmind's own intellectual property as nineteen patent families, including 32 granted patents, and says nothing about Charging Robotics's patents.
