Citius Pharmaceuticals, Inc. (Nasdaq: [CTXR](https://aibio.space/companies/citius-pharmaceuticals/)) received a Nasdaq minimum bid price notice on February 9, 2026. Nasdaq told the company that the bid price of its common stock had closed below the $1.00 minimum for continued listing on the Nasdaq Capital Market for the last 30 consecutive business days. The company disclosed the notice in a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1506251/000121390026015895/ea0276948-8k_citius.htm) filed February 13, 2026, which also furnished a press release with first-quarter results.

## The compliance period

The notice cites Nasdaq Listing Rule 5550(a)(2). Under Rule 5810(c)(3)(A), Citius has 180 calendar days, until August 10, 2026, to regain compliance. To do so, its shares must close at $1.00 or more for at least ten consecutive business days before that date, and Nasdaq will confirm compliance in writing.

If the company does not regain compliance by August 10, it may be eligible for another 180-day period. To qualify, it must meet the market value of publicly held shares requirement and the other initial listing standards for the Nasdaq Capital Market, apart from the bid price test. It must also say in writing that it intends to cure the deficiency during that second period, by a reverse stock split if necessary. If it does not qualify or does not cure in time, Nasdaq will notify it that the stock is subject to delisting, and Citius may appeal to a Nasdaq hearings panel.

The notice has no immediate effect on the listing. The stock continues to trade under CTXR, and the company says there can be no assurance it will regain compliance.

## The quarter

The press release covers the fiscal first quarter ended December 31, 2025. Citius reported revenue of $3,944,111, the first sales of LYMPHIR, which launched in December 2025 through its majority-owned subsidiary Citius Oncology, Inc. The company says it owns about 74.8% of that subsidiary. The release describes the sales as initial specialty distributor sales, so the quarter's revenue reflects a launch that has only just begun.

Cost of revenues was $789,208, which left gross profit of $3,154,903. Research and development fell to $1,599,719 from $2,127,038, which the release attributes to reduced clinical development activity. General and administrative expense rose to $5,720,727 from $5,387,752. The statement of operations shows a separate line for stock-based compensation in general and administrative of $4,280,227, against $2,524,824 a year earlier.

Net cash used in operating activities was $13,008,822, up from $4,725,852 in the same quarter a year earlier. The company also paid $4,400,000 in license fees. Its cash and cash equivalents were $7,721,393 at December 31, 2025.

## The equity raise and the per-share loss

Citius reports net proceeds of $20,877,925 from common stock offerings in the quarter, including capital raised at both Citius Pharma and Citius Oncology.

The release gives two figures for the per-share loss. The text says the net loss applicable to common stockholders of $8.2 million was $0.41 per share, against $1.30 a year earlier. The statement of operations shows $(0.38) per share. The two numbers do not match, and the release does not reconcile them.

## The going-concern warning

The 10-K for the fiscal year ended September 30, 2025, filed December 23, 2025, carries an explanatory paragraph from the auditor. It says there is substantial doubt about the company's ability to continue as a going concern.

The press release lists the same risk: the company's need for substantial additional funds, and its ability to raise money to fund operations for at least the next 12 months as a going concern.

## The business

Citius describes itself as a biopharmaceutical company focused on first-in-class critical care products, headquartered in Cranford, New Jersey. Its listed products and candidates are Mino-Lok, an antibiotic lock solution used to salvage infected catheters in patients with catheter-related bloodstream infections; Halo-Lido, a corticosteroid and lidocaine topical for hemorrhoids; and NoveCite, a mesenchymal stem cell therapy for ARDS.

## Who is involved

Leonard Mazur, Chairman and Chief Executive Officer, signed the 8-K. The release names Ilanit Allen as investor contact.
