Citius Oncology, Inc. (Nasdaq: [CTOR](https://aibio.space/companies/citius-oncology/)) said in a Form 8-K dated October 19, 2026 and filed October 23, 2026 that it received formal notice on October 19 that Nasdaq had granted its request for more time to meet the $1.00 minimum bid price. The extension runs through April 19, 2027. The requirement is Nasdaq Listing Rule 5550(a)(2), which the filing calls the Bid Price Rule. The 8-K is signed by Leonard Mazur, chairman and chief executive officer.

## What the company must do

The bid price must close at $1.00 per share or more for a minimum of ten consecutive business days before April 19, 2027. Nasdaq would then confirm compliance in writing. If the company has not regained compliance by that date, Nasdaq will notify it that its common stock is subject to delisting, and the company could appeal to a Nasdaq hearings panel.

For now the extension has no effect on the listing. The stock continues to trade on the Nasdaq Capital Market under the symbol CTOR. The company says it is evaluating its options for regaining compliance and that there can be no assurance it will do so, even if it maintains compliance with its other listing requirements. The 8-K does not describe those options, and it does not say when the bid price first fell below $1.00.

## The product behind the listing

The annual report for fiscal 2025, filed December 23, 2025, describes LYMPHIR as an engineered IL-2 diphtheria toxin fusion protein for persistent or recurrent cutaneous T-cell lymphoma. The FDA approved it in August 2024, and the company launched it in December 2025. The company estimates the market for LYMPHIR exceeds $400 million, is growing and is underserved by existing treatments.

The approval rests on a single pivotal study, E7777-G000-302. Because the manufacturing formulation changed, the FDA required a new clinical study. That trial was global, open-label and single-arm, enrolled patients who had received at least one prior therapy, and was sponsored by Eisai. It ran at 17 sites in the United States and three in Australia, and its lead-in phase had 21 subjects. The report says the primary and secondary endpoints were met and that no new safety signals appeared compared with ONTAK, the earlier product. A single-arm design has no control group, so the comparison with ONTAK rests on the company's own reading.

## Parent, funding and results

Citius Pharmaceuticals, Inc. (Nasdaq: [CTXR](https://aibio.space/companies/citius-pharmaceuticals/)) owned about 77.9% of Citius Oncology as of December 17, 2025. That figure follows a transaction that closed on December 11, 2025 and excludes pre-funded warrants for up to 15,229,358 shares. Immediately after the 2024 merger, the parent held about 92%. The annual report says the parent has funded the company since its formation in 2021 and continues to fund it, under a shared services agreement.

The annual report shows a net loss of $24.8 million for fiscal 2025, up from $21.1 million for fiscal 2024. Research and development expense rose to $6.4 million from $4.9 million. Cash used in operations was $5.5 million in fiscal 2025, while operations provided $126,353 in fiscal 2024. A quarterly report filed August 14, 2026 puts year-end fiscal 2025 cash and cash equivalents at $3.9 million. Cash and cash equivalents were $112 at September 30, 2024, a figure from a quarterly report filed May 14, 2025.

## What the 8-K leaves out

The 8-K gives no cash balance and no share count. It does not mention a reverse stock split, and it does not name counsel. The only dated item in it is the April 19, 2027 deadline.
