(Nasdaq: [CING](https://aibio.space/companies/cingulate/)) told the SEC on August 15, 2025 that it will not file its quarterly report for the quarter ended June 30, 2025 on time. In a [notification of late filing on Form 12b-25](https://www.sec.gov/Archives/edgar/data/1862150/000164117225024288/formnt10-q.htm), known as an NT 10-Q, the company says it needs more time to complete the review of its financial statements because of recent changes in its management. Rule 12b-25 gives a company that files the form a short extension. Cingulate is based in Kansas City, KS. ## What the notice says Cingulate says it plans to file its Quarterly Report on Form 10-Q "as soon as practicable" and within the five calendar day period provided by Rule 12b-25. It checked the box stating that the report could not be filed without unreasonable effort or expense. The notice says the management changes are described in a Current Report on Form 8-K that the company filed with the SEC the same day. It says those changes required additional time to prepare and review the financial statements and related disclosures. The notice does not say what the changes were or who made them. The notice also answers two further questions. Cingulate checked yes when asked whether all other periodic reports required over the preceding 12 months had been filed. It checked no when asked whether it expects a significant change in results of operations from the same period a year earlier. ## Who signed Jennifer L. Callahan is the contact for the notice and signed it as Interim Chief Executive Officer & Chief Financial Officer. ## The going concern warning The annual report for 2024 includes an explanatory paragraph from KPMG LLP on substantial doubt about Cingulate's ability to continue as a going concern. The company says it has incurred recurring losses since inception and had an accumulated deficit of approximately $108.5 million as of December 31, 2024. It says the substantial doubt means it may be unable to continue operations for the foreseeable future. The annual report also says that if the company is unable to secure sufficient capital to fund its operations, it may have to enter into strategic collaborations that could require it to share commercial rights to CTx-1301, CTx-1302 and CTx-2103 with third parties. It adds that the company could spend its available capital resources much faster than it currently expects. ## Why the delay matters A late quarterly report arrives on top of that warning. The notice gives no results, cash balance or funding figures for the quarter ended June 30, 2025, and the most recent financial figures in the annual report are for December 31, 2024. Until the 10-Q is filed, investors have no quarter-end numbers to test against the going concern language. The notice ties the delay to management changes, but it does not explain their effect on the review. Cingulate's common stock trades on the Nasdaq Capital Market under the symbol CING, and its warrants trade under CINGW. The notice does not mention the exchange or any listing consequence of the late filing. The company's own timetable is short. Cingulate says it expects to file within the extension period, which runs to the fifth calendar day after the prescribed due date, and the notice contains no more specific date. The notice does not update the annual report's going concern language, which describes the company as it stood at the end of 2024.
