China Pharma Holdings, Inc. (NYSE American: [CPHI](https://aibio.space/companies/china-pharma/)) announced on July 22, 2026 that it priced a registered direct offering of 2.5 million shares of its common stock at a purchase price of $2 per share. The company said the gross proceeds from the offering will be $5 million, before deducting placement agent fees and other offering expenses. The announcement was made in a [press release](https://www.sec.gov/Archives/edgar/data/1106644/000121390026080475/ea029892101ex99-1.htm) filed as an exhibit to a Form 8-K. The company is based in Haikou City, China.

## The offering

The company says it intends to use the net proceeds from the offering for working capital and general corporate purposes. It expects the offering to close on or about July 23, 2026.

The release names FT Global Capital, Inc. as the exclusive placement agent for the offering. It names no other underwriter, placement agent or financial adviser for the transaction, and it does not name any law firm acting for the company or the placement agent.

The shares are being sold under the company's shelf registration statement on Form F-3, File No. 333-276481. The Securities and Exchange Commission received that registration statement on January 12, 2024, and declared it effective on February 14, 2024. The release says a prospectus supplement and an accompanying base prospectus describing the terms of the offering will be filed with the SEC, and that the documents will be available on the SEC website at www.sec.gov.

## What the company does

The company's annual report filed April 1, 2026 describes China Pharma as a Nevada holding company. Its operations are conducted through its wholly owned subsidiary, Hainan Helpson Medical and Biotechnology Co., Ltd., which the filing calls Helpson, and Helpson's subsidiaries in China. The report says Helpson develops, manufactures and markets pharmaceutical products for human use in connection with high-incidence and high-mortality diseases in the People's Republic of China.

According to the annual report, Helpson manufactures dry powder injectables, liquid injectables, tablets, capsules and cephalosporin oral solutions. As of December 31, 2025, the company was granted rights to manufacture 19 pharmaceutical products. The report groups those products into basic generic drugs, first-to-market generic drugs and modern traditional Chinese medicines. The company operates two production facilities in Haikou, Hainan Province.

The July release describes the company as a fully integrated specialty pharmaceutical company in China, with eight GMP-certified product lines covering the major dosage forms, and a nationwide distribution network across major cities and provinces. It says the company's products target conditions including cardiovascular, CNS, infectious and digestive diseases.

## Financial position

The company's [XBRL financial data](https://www.sec.gov/Archives/edgar/data/1106644/000121390026038521/) draws on the same annual report. For the fiscal year ended December 31, 2025, it reports revenue of $4.1 million, compared with $4.5 million for 2024. Research and development expense was $280,901 for 2025 and $283,942 for 2024.

The data reports a net income (loss) of negative $3.2 million for 2025 and negative $4.7 million for 2024. Cash from operations was $148,261 for 2025, compared with negative $406,063 for 2024. For the fiscal year ended December 31, 2024, the company reported year-end cash and cash equivalents of $626,879.

## What the money has to cover

The $5 million is gross, before placement agent fees and expenses that the release does not quantify. The company says the net proceeds are for working capital and general corporate purposes, and no filing names a product launch, capital project or acquisition. The money arrives at a company whose revenue fell to $4.1 million in 2025 from $4.5 million and whose net loss was $3.2 million, down from $4.7 million. Its operations produced $148,261 of cash in 2025, after using $406,063 in 2024, yet the company still posted a net loss for the year. Selling 2.5 million new shares at $2 dilutes existing holders, and the release does not say how many shares are outstanding. The prospectus supplement will set out the full terms.
