CERo Therapeutics Holdings, Inc. issued a Consolidated Senior Secured Promissory Note to SRX Global Inc., formerly known as SRx Health Solutions, Inc., with an original issue date of August 27, 2026, according to a Form 8-K. SRX Global is the lender.

## The consolidated note

The note consolidates $2,794,000.00 of earlier notes held by SRX and $2,872,108.77 of notes originally held by Keystone Capital Partners, LLC. That second figure is $2,812,500.00 of principal plus $59,608.77 of accrued interest. The 8-K puts the principal represented by previously outstanding debt at $5,666,108.77. The earlier debt was unsecured, and the new note is secured.

SRX may make further advances of up to $6,000,000 in total, including the first, for a maximum loan amount of $11,666,108.77. Later advances are scheduled on the first day of each month under a budget attached to the note, and SRX may make other advances at its discretion. SRX funded a gross advance of $775,665.00 on August 27, 2026, after withholding $50,000.00 to reimburse its legal expenses. The company intends to use the advances to pay trade payables and for working capital at the parent and its subsidiary.

The 8-K says the earlier notes, including their conversion terms, were superseded in their entirety by the new note, and their unpaid principal and interest were consolidated rather than repaid.

## Security and default terms

The note bears interest at 10% a year. During an event of default, the rate rises to the lesser of 24.99% a year and the maximum allowed by law, and it returns to 10% once the default is cured. Principal, interest and other amounts are due October 15, 2026, unless accelerated or paid earlier. SRX may extend the maturity for up to four consecutive 30-day periods, and the company may not prepay without SRX's consent, except in a change of control.

The company pledged the stock of its subsidiary, CERo Therapeutics, Inc., to SRX intended to be a first-priority security interest. The subsidiary also granted SRX a security interest in substantially all its assets, including intellectual property, patents, studies, clinical trials and regulatory applications for the CER-T cell therapy business. The subsidiary guaranteed payment and performance of the note as a guaranty of payment, not merely of collection.

Covenants restrict additional debt and liens, repayment of other debt, dividends and certain affiliate transactions. Defaults include failure to use proceeds in line with the company's budget, along with payment defaults, cross-defaults and a material adverse effect. After a default, SRX may accelerate the note and enforce against the pledged shares and other collateral. The filing names no placement agent or advisor for the note.

## Business and finances

CERo describes itself as an immunotherapy company developing engineered T cell therapies, led by CER-1236, an autologous product that targets TIM-4 ligand. The company's first investigational new drug application was put on a brief clinical hold because of insufficient nonclinical data on off-target toxicity, and the FDA notified the company on November 14, 2024 that the application was cleared. The hold was lifted after additional in vitro experiments. A Phase 1/1b trial of CER-1236 in acute myeloid leukemia began in May 2025. The 10-K says cell products had been given to four patients, with no safety concerns after the first cohort's 28-day monitoring period, and a fifth patient was dosed in March 2026. That is an early dose-escalation study in very few patients.

The finances are thin. The net loss was $19.9 million in 2025, against $7.3 million in 2023, and cash used in operations was $16.1 million in 2025 against $1.5 million in 2023. Year-end cash was $96,873 in 2023 and $1.7 million in 2025, according to the company's filings. Cash and cash equivalents were $862,756 at June 30, 2026.

Against $16.1 million of operating cash use in 2025, the $775,665 advance and the June 30 balance look small, and the note matures on October 15, 2026. The 8-K cover lists no exchange for the common stock or the warrants.
