# Century Therapeutics gets 180 more days to meet Nasdaq bid price rule

Tickers [IPSC](https://aibio.space/companies/century-therapeutics/)

Nasdaq gave Century until February 23, 2026, to lift its closing bid price above $1.00, and moved its listing to the Nasdaq Capital Market. The company's own clinical data for its lead lymphoma program did not meet its bar for a transformational result.

Century Therapeutics, Inc. (Nasdaq: [IPSC](https://aibio.space/companies/century-therapeutics/)) said Nasdaq granted it an additional 180 calendar days, to February 23, 2026, to regain compliance with the $1.00 minimum bid price rule. Nasdaq notified the company of the extension on August 27, 2025. The company did not regain compliance by its first deadline, August 26, 2025.

The problem started on February 26, 2025, when Nasdaq staff sent a deficiency letter. The closing bid price had been below $1.00 for the last 30 consecutive business days. The company was given 180 calendar days to fix it, under Nasdaq Listing Rule 5810(c)(3)(A). Its listing was then on the Nasdaq Global Select Market.

## The move to the Capital Market

On August 27, 2025, Nasdaq approved the transfer of the listing to The Nasdaq Capital Market. The stock keeps the symbol IPSC. According to the 8-K, Nasdaq based the extension partly on Century meeting the market value of publicly held shares requirement and the other initial listing rules for the Capital Market, apart from the bid price rule. Nasdaq also relied on the company's written notice that it intends to cure the deficiency with a reverse stock split if necessary.

A reverse split combines shares into fewer shares, which raises the price per share. The 8-K says Nasdaq will confirm compliance once the closing bid price is at least $1.00 for a minimum of 10 consecutive business days before the February 23, 2026 deadline. The filing does not say whether the company has set a split ratio or a date, and it gives no assurance of compliance.

## The business

Century describes itself as a clinical-stage biotechnology company building allogeneic cell therapies from induced pluripotent stem cells, or iPSCs. Its natural killer and T cell programs use cells from healthy donors rather than the patient's own cells, which the company says could make treatments available off the shelf.

Its lead clinical product, CNTY-101, is a CAR-iNK cell therapy with six precision gene edits. It is in a Phase 1 trial for patients with B-cell mediated autoimmune diseases. In March 2025 the company discontinued its ELiPSE-1 Phase 1 trial of CNTY-101 in lymphoma, citing strategic reasons. The company says it remains encouraged by the tolerability and clinical activity seen in late-stage relapsed or refractory non-Hodgkin lymphoma. It also says the emerging data from ELiPSE-1 did not meet its threshold to be considered transformational in that population.

The company also said in March 2025 that it had re-prioritized its preclinical pipeline around three core programs built on its iT cell platform. All are preclinical. They are CNTY-308, a CD19-targeted CAR-iT cell therapy for B-cell mediated autoimmune diseases and malignancies, CNTY-341, a CD19/CD22 dual-targeted CAR-iT therapy for B cell malignancies, and a first solid tumor program using a Nectin-4 CAR. The annual report says CNTY-308 shows preclinical efficacy comparable to autologous CD19 CAR-T cells, a preclinical claim, not a result in patients.

## The money

Neither the 8-K nor the business section of the annual report gives the cash balance, the net loss or the share count for this filing. Without those figures the company's ability to fund its trials, or to pay for a reverse split and any follow-on share sales, cannot be measured from the material here. The company is headquartered at 25 North 38th Street in Philadelphia and is incorporated in Delaware.

## What comes next

The next deadline is February 23, 2026, and the closing bid price must reach at least $1.00 for 10 consecutive business days before that date. If it cannot, Nasdaq may move to delist the stock. The 8-K does not give a split ratio, a shareholder meeting date or a timetable for the Phase 1 autoimmune data.
