Celcuity drew $30 million at closing, bringing the term loan to $130 million. The $170 million of new committed capital depends on FDA approval of gedatolisib or on commercial revenue milestones.

Celcuity Inc. (Nasdaq: [CELC](https://aibio.space/companies/celcuity/)) said on September 9, 2025 that it amended its senior secured credit facility with an affiliate of Innovatus Capital Partners, LLC and Oxford Finance LLC. The amendment raises the total term loan facility to $500 million. That includes $350 million in committed capital and up to $150 million available at the mutual discretion of Celcuity and its lenders. The company filed the release as Exhibit 99.1 to a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1603454/000164117225027025/ex99-1.htm) on September 10, 2025.

At closing the company took an initial principal amount of $30 million, which brings the total term loan outstanding to $130 million. The amendment adds $170 million of new committed capital, and as the release breaks it down, all of it depends on events that have not happened yet.

## What the new money depends on

The amendment includes an additional $50 million, for a total of $100 million, that becomes available upon U.S. Food and Drug Administration approval of gedatolisib in second-line wild-type advanced breast cancer patients after CDK4/6 inhibitor therapy. A further $120 million becomes available upon achievement of certain commercial revenue milestones. The release does not state the milestone amounts or dates. The release does not say the drug is approved.

The interest-only period is extended by 14 months, with a further seven-month extension available upon FDA approval. The maturity date is extended by six months. Part of the extended terms also depends on FDA approval.

The company says the added funding will support the rolling submission of its New Drug Application for gedatolisib via the FDA's RTOR program, commercial launch preparations and other strategic initiatives. The release says a Form 8-K outlining the material terms will be filed. The release itself does not set out the covenants, fees, collateral or the agent for the loan.

## The VIKTORIA-1 data behind the amendment

The release says the amendment "significantly enhances" the company's financial flexibility "following the positive topline data from the PIK3CA wild-type cohort" of the Phase 3 VIKTORIA-1 study. The release does not report the topline numbers, so whether the data are positive cannot be checked against an endpoint, a hazard ratio or a confidence interval. The wild-type cohort completed enrollment, and the mutant cohort is still enrolling. A lender agreeing to more money after that readout is a fact about the financing, not a measure of the data.

The company's 10-K, filed March 31, 2025, describes gedatolisib as a candidate that the company calls "well-tolerated," an assessment it makes itself. The drug received Fast Track designation in January 2022 and Breakthrough Therapy Designation in July 2022 for HR-positive, HER2-negative advanced breast cancer after CDK4/6 therapy. The 10-K says the Breakthrough criteria require preliminary clinical evidence of a substantial improvement on an endpoint. That is a regulatory signal, not an approval.

VIKTORIA-1 dosed its first patient in December 2022. It is a Phase 3, open-label, randomized two-part trial that tests gedatolisib with fulvestrant, with and without palbociclib, in adults with HR-positive, HER2-negative advanced breast cancer who have had a CDK4/6 inhibitor plus an aromatase inhibitor.

## Other programs and what remains open

The 10-K describes a second Phase 3 study, VIKTORIA-2, in first-line treatment, with about 200 clinical sites expected to take part. The 10-K expected that study to dose its first patient in the second quarter of 2025, and the release says it is enrolling. The 10-K also describes the Phase 1b/2 study CELC-G-201, combining gedatolisib with darolutamide in metastatic castration-resistant prostate cancer. The 10-K expected preliminary Phase 1 data from that study by the end of the second quarter of 2025, and the release reports no such data.

The release gives no revenue figure. The milestone tranche of $120 million requires commercial revenue, so the financing assumes a product that the release does not yet show. The release also does not give a cash balance or loss figure, so the company's runway cannot be measured from the release alone.
