Tickers [CASIF](https://aibio.space/companies/casi-pharmaceuticals/)

CASI Pharmaceuticals had $3.8 million of cash at June 30, 2026, after its ordinary shares left Nasdaq and began quoting on the OTCQB. Its first-half release says recurring operating losses have raised substantial doubt about its ability to continue as a going concern.

## The delisting

On February 23, 2026, the Hearings Panel of The Nasdaq Stock Market told CASI Pharmaceuticals, Inc. that it had decided to delist the company's securities for failing to satisfy Nasdaq's continued listing requirements. Trading was suspended at the opening of business on February 26, 2026. The ordinary shares began quoting on the OTCQB under the ticker CASIF on April 14, 2026, and Nasdaq filed a Form 25 on June 23, 2026.

The company is developing CID-103, an anti-CD38 monoclonal antibody for antibody-mediated rejection in organ transplant and for autoimmune diseases. The release says its Phase 1/2 trial in China of CID-103 in renal allograft antibody-mediated rejection has dosed its first patient, and that enrollment is complete in Part A, the dose-escalation part, of a Phase 1/2 study in immune thrombocytopenia.

## The first-half numbers

Revenue for the six months ended June 30, 2026 was $9.8 million, down 5.8% from $10.4 million. The release attributes the decline to the product transition from EVOMELA to the locally made MAFALAN, which it says is still in its market-expansion phase. The net loss narrowed to $20.0 million from $24.1 million. Research and development expense fell to $2.3 million from $3.7 million. General and administrative expense rose to $14.3 million from $13.8 million, which the release puts down to higher legal fees.

Selling and marketing expense fell to $7.5 million from $9.2 million, and revenue cost fell to $2.2 million from $4.7 million. Interest expense rose to $1,342 thousand, and the company recorded a share of net loss in an equity investee of $2,616 thousand. Cash and cash equivalents were $3.8 million at June 30, 2026, against $5.6 million at December 31, 2025. The total shareholders' deficit widened to $58,266 thousand from $37,282 thousand over the same period. Convertible notes due to a related party rose to $19,243 thousand from $4,243 thousand, and the current portion of long-term borrowing stood at $19,780 thousand.

The company completed a $15 million convertible note financing with ETP Global III Fund LP, a partnership controlled by Dr. Wei-Wu He, its chairman and principal executive officer. The release gives 20,555,873 ordinary shares outstanding at June 30, 2026.

## The going-concern language and the related-party plans

The release's forward-looking statements say that the company's recurring operating losses have raised substantial doubt about its ability to continue as a going concern. The same statements name a going-private proposal made by Dr. He and a planned divestiture of certain assets in China under an Equity and Assets Transfer Agreement that may not occur as planned. The release also lists risks that the interests of its largest shareholder and its chairman may differ from those of other shareholders.

The release reports a favorable final award in the Juventas arbitration, received after the quarter end. The tribunal rejected all of Juventas's allegations of breach, found that Juventas had wrongfully terminated the relevant agreements, and awarded the company amounts totaling well over RMB 100 million. The release flags uncertainty over the timing, enforcement and collection of those amounts and does not say any part has been collected.

The company has also settled with Acrotech Biopharma Inc. Under that settlement, a prior purported termination of the EVOMELA license and related agreements was rescinded. The agreements remain in full force, subject to certain revisions, and the release lists the company's obligations under the settlement, including applicable minimum purchase obligations, among its risks.

## What the release leaves open

The release does not give OTCQB trading volume or prices. It does not set out a timetable for the going-private proposal or the China divestiture, and it does not say whether either would change the listing position or the company's need for capital. It names the need for additional capital and the uncertainty of securing funding on favorable terms as risks, but it does not give a runway in months.

The balance sheet shows total current liabilities of $66,617 thousand against total current assets of $10,023 thousand, total liabilities of $79,329 thousand, and an accumulated deficit of $768,169 thousand. The release does not explain how those liabilities will be settled, and it gives no plan for the period after the convertible note financing.
