Caribou Biosciences, Inc. (Nasdaq: [CRBU](https://aibio.space/companies/caribou-biosciences/)) said on October 6, 2026 that it is exploring strategic alternatives, will discontinue its two allogeneic CAR-T programs, vispa-cel and CB-011, and will cut its workforce substantially. The Berkeley, California company had $113.8 million of cash, cash equivalents and marketable securities on June 30, 2026.

The board approved the restructuring on October 2, according to the company's 8-K. The review may cover a merger, acquisition, business combination or other transaction involving the company or its assets. Caribou has hired Wedbush Securities as exclusive financial advisor. It has set no timeline and says it will not update the market until the board approves a course of action or the review ends.

## The restructuring costs

Caribou estimates total restructuring expenses of $15 million to $19 million, most of it to be recognized in the fourth quarter of 2026. Severance, continued healthcare coverage and related costs account for $10 million to $11 million. Winding down the ANTLER and CaMMouflage phase 1 trials accounts for $5 million to $8 million.

Other charges are not yet estimated. These include contract terminations, the resolution of intellectual property licenses, and the sublease or termination of facility leases. Caribou says it will file an amendment to the 8-K within four business days after it can put a figure on them. The company also says it may incur charges it does not now expect.

Most affected employees are expected to leave in the fourth quarter. A limited number will stay through the review to support transaction work and wind-down activities. A long-term follow-up study for patients already treated with its products continues.

The 8-K also says that the employment of Chief Financial Officer Sriram Ryali will end on the day Caribou signs a binding agreement for a strategic alternative. That termination would be treated as without cause, which would trigger severance under his employment agreement dated January 2, 2025.

## What the cash has to cover

In its second-quarter release, issued August 13, Caribou said its cash would fund its operating plan to the end of 2027. That plan included dose expansion for CB-011 and start-up work for a planned phase 3 trial of vispa-cel. Both programs are now being discontinued, and the October release gives no new runway estimate.

For the three months ended June 30, 2026, Caribou reported a GAAP net loss of $24.3 million, or $0.24 per share, against $54.1 million, or $0.58 per share, a year earlier.

## The data behind the programs

Caribou's second-quarter release gave vispa-cel results in 27 patients with second-line large B cell lymphoma who received a single dose of 80 million optimized cells. In that group the overall response rate was 82%, the complete response rate was 67%, and median progression-free survival was 17.1 months. The company described the safety profile as generally well tolerated.

A group of 27 patients is small. The release defines optimized vispa-cel as cells from a donor younger than 30 with at least two matched HLA alleles between patient and donor. The company had said it reached alignment with the FDA on a randomized, controlled phase 3 trial of about 250 patients, and in August it said it was exploring multiple options to fully fund that trial. In the October release, Rachel Haurwitz, the chief executive, said the decision is "in no way a reflection" of the company's belief that the programs can benefit patients. The 8-K says the board acted in view of the current financing environment for allogeneic CAR-T cell therapies.

Caribou's 2025 annual report says the workforce had already been reduced by 47 employees, or approximately 32%, and describes the discontinuation of the AMpLify phase 1 trial of CB-012. The new reduction follows that one.

## What the filings leave open

The 8-K says the CFO's departure and severance follow only if Caribou signs a binding agreement for a strategic alternative. It says charges for the facility lease, contract terminations and asset impairments cannot yet be estimated, and that an amended 8-K will follow within four business days of an estimate. Caribou has said it will give no further updates until the board approves a course of action or the review ends.
