Cardiff Oncology, Inc. (Nasdaq: [CRDF](https://aibio.space/companies/cardiff-oncology/)) priced an underwritten registered direct offering of 15,384,619 shares of common stock at $2.60 per share, the company said in a [press release](https://www.sec.gov/Archives/edgar/data/1213037/000095017024134970/crdf-ex99_1.htm) dated December 10, 2024. Gross proceeds are expected to be approximately $40 million.

The [prospectus supplement](https://www.sec.gov/Archives/edgar/data/1213037/000095017024135144/crdf_12.10.24_-_424b5.htm) shows total proceeds of $40,000,009. After underwriting discounts and commissions of $2,400,001, Cardiff would receive $37,600,008 before expenses. The offering price is above the last reported sale price of $2.44 on December 9, 2024.

The company said new mutual fund and healthcare dedicated investors took part, along with existing investors. All shares are being sold by the company. The offering was expected to close on or about December 11, 2024.

TD Cowen is lead book-runner and William Blair is book-runner. H.C. Wainwright & Co. is lead manager and Craig-Hallum is co-manager. The shares are sold under a shelf registration statement declared effective on April 25, 2022.

Cardiff plans to use the net proceeds to fund clinical costs for onvansertib in first-line RAS-mutated metastatic colorectal cancer, and for working capital and general corporate purposes.
