## The financing

CAMP4 Therapeutics Corporation (Nasdaq: [CAMP](https://aibio.space/companies/camp4-therapeutics/)) said on September 10, 2025 that it had signed definitive securities purchase agreements with institutional and accredited investors for up to $100 million in gross proceeds through a private placement. The initial closing brings $50 million. It consists of 26,681,053 shares of common stock at $1.53 each, 36,361 shares at $1.65 sold to certain directors, employees and consultants, and 6,003,758 pre-funded warrants at $1.5299 each.

The company could receive a further $50 million in exchange for up to 32,721,172 shares of common stock, or pre-funded warrants for some investors. That tranche depends on pre-specified milestones, including regulatory clearance to start a Phase 1/2 trial of its SYNGAP1 candidate, CMP-SYNGAP-01. The release says the trial could begin as early as the second half of 2026. The release does not give a price for the second tranche.

Coastlands Capital, a new investor, led the financing. Janus Henderson Investors, Balyasny Asset Management, Vivo Capital, 5AM Ventures, Adage Capital Management LP, Trails Edge Capital Partners and the SynGAP Research Fund also took part. The securities were not registered under the Securities Act. Investors received customary resale registration rights for the shares underlying the pre-funded warrants.

## Who is named

Leerink Partners is lead placement agent. Piper Sandler & Co., Cantor Fitzgerald, and Wedbush & Co. are acting as co-placement agents. The release names no counsel to the company or to the agents, so this story names none.

## The science and the board

The release does not report new data. Its background is the company's annual report on Form 10-K for 2024. That report describes CMP-CPS-001, a regulatory RNA-based candidate for urea cycle disorders, in an ongoing Phase 1 trial in healthy volunteers. The company expected to report data from the single and multiple ascending dose portions in the fourth quarter of 2025, and it had not yet reported them when the annual report was filed.

The SYNGAP1 program was preclinical in that annual report. The company had nominated CMP-SYNGAP-01 as a development candidate and expected to start Good Laboratory Practice toxicology studies in 2025 to support clinical trial applications. The September release moves the trial start into view, but it does not say how far the toxicology work has progressed, and the trial start depends on regulatory clearance the company does not control.

The release also changes the board. James Boylan, Ravi Thadhani, M.D., and Paula Ragan, Ph.D. resigned as directors. Doug Williams, Ph.D., who joined the board in March 2025 and was previously President of R&D at Sana Biotechnology and an executive at Biogen, becomes board chair, and Steven Holtzman moves from chair to independent director. Daniel Tardiff, Ph.D. becomes chief scientific officer effective October 1, 2025, and David Bumcrot, Ph.D. becomes a scientific fellow. Murray Stewart, DM FRCP, will chair the research and development committee.

## What the financing leaves open

The release says the net proceeds will go to preclinical and clinical development of the SYNGAP1 program, working capital and general corporate purposes. It gives no split between those uses and no time frame for spending. It does not give the company's cash balance, net loss or cash used in operations, so the financing cannot be set against its burn from the release alone.

The release's forward-looking statements list risks inherent in achieving regulatory milestones and stock price thresholds, along with the company's limited operating history and its expectation of substantial and increasing losses. The milestone tranche is the largest part of the deal, and the release does not say what share price investors would pay for it or what happens if clearance is delayed past the second half of 2026.

The annual report also lists a strategic research collaboration with BioMarin Pharmaceutical Inc. on two genetic targets and plans to expand the CMP-CPS-001 trial in Australia into a Phase 1b in female participants who are heterozygous for an OTC gene mutation. The company's earlier filing shows one candidate in healthy volunteers and a second program still preclinical. The upfront money pays for work the release describes only in general terms, and the larger tranche depends on a regulatory step that has not yet happened.
